CONTRACTOR ASSIGNMENT AGREEMENT

This Contractor Assignment Agreement (the "Agreement") is made as of by and between Assignor Name: , with principal place of business at (the "Assignor"), and Assignee Name: , with principal place of business at (the "Assignee"). Assignor and Assignee are each a "Party" and together the "Parties."

RECITALS

WHEREAS, Assignor is a party to that certain contractor agreement dated (the "Original Agreement") with respect to the provision of certain services described therein; and

WHEREAS, Assignor desires to assign to Assignee all of Assignor's rights and obligations under the Original Agreement to the extent assignable; and

WHEREAS, Assignee is willing to accept such assignment and to assume the duties, liabilities, and obligations of Assignor under the Original Agreement upon the terms and subject to the conditions set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. ASSIGNMENT

Assignor hereby irrevocably assigns, transfers and conveys to Assignee all of Assignor's right, title and interest in and to the Original Agreement effective as of the Effective Date set forth above (the "Assignment Effective Date"). This assignment includes all rights to receive compensation, to enforce covenants, and to exercise any remedies available under the Original Agreement, except to the extent expressly reserved by Assignor in writing in this Agreement.

2. ASSUMPTION OF OBLIGATIONS

Effective as of the Assignment Effective Date, Assignee accepts the foregoing assignment and assumes and agrees to perform and be bound by all duties, obligations and liabilities of Assignor under the Original Agreement arising on or after the Assignment Effective Date. Assignee shall not be relieved of any obligations under the Original Agreement arising prior to the Assignment Effective Date except as expressly agreed in writing by the Parties.

3. CONSIDERATION

In consideration for the assignment and assumption set forth in this Agreement, Assignee shall pay to Assignor the sum of (the "Consideration") upon execution of this Agreement, or as otherwise set forth herein.

4. REPRESENTATIONS AND WARRANTIES OF ASSIGNOR

Assignor represents and warrants to Assignee that: (a) Assignor is the lawful owner of all rights being assigned and has the full power and authority to assign such rights; (b) to Assignor's knowledge, the Original Agreement is in full force and effect and, except as disclosed in writing to Assignee, no material default exists under the Original Agreement; (c) the execution, delivery and performance of this Agreement by Assignor do not and will not violate any contract, statute, order or other obligation binding on Assignor; and (d) no consent or approval of any third party is required for the consummation of the transactions contemplated by this Agreement except as set forth in writing in the Original Agreement or disclosed separately in writing to Assignee.

5. REPRESENTATIONS AND WARRANTIES OF ASSIGNEE

Assignee represents and warrants to Assignor that: (a) Assignee has the corporate or other power and authority to enter into and perform this Agreement; (b) Assignee will perform the Assigned Obligations in accordance with the terms of the Original Agreement; and (c) Assignee's execution, delivery and performance of this Agreement will not violate any material agreement, law or order applicable to Assignee.

6. INDEMNIFICATION

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all losses, damages, liabilities, claims and expenses (including reasonable attorneys' fees) arising out of facts or circumstances existing prior to the Assignment Effective Date. Assignee shall indemnify, defend and hold harmless Assignor from and against any and all losses, damages, liabilities, claims and expenses (including reasonable attorneys' fees) arising out of Assignee's performance or breach of the Original Agreement on or after the Assignment Effective Date.

7. CONFIDENTIALITY

Each Party shall continue to comply with any confidentiality obligations under the Original Agreement. Neither Party shall disclose confidential information obtained pursuant to the Original Agreement to any third party except as expressly permitted by the Original Agreement or as required by law, provided that the disclosing Party takes commercially reasonable steps to notify the non-disclosing Party prior to such compelled disclosure where lawful and practicable.

8. TRANSITION ASSISTANCE

For a period of following the Assignment Effective Date, Assignor shall provide reasonable transition assistance to Assignee at no additional charge to ensure continuity of services and to transfer knowledge, documentation and client communications as reasonably requested by Assignee.

9. NOTICES

All notices, requests, demands and other communications required or permitted under this Agreement shall be given in writing and delivered to the addresses set forth below or to such other address as a Party may designate by written notice in accordance with this Section.

10. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its principles of conflicts of law.

11. ENTIRE AGREEMENT

This Agreement, together with the Original Agreement (to the extent incorporated herein), constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, warranties, promises and agreements, whether written or oral, relating to such subject matter.

12. SEVERABILITY

If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not in any way be affected or impaired thereby and the Parties shall endeavor in good faith to replace the invalid, illegal or unenforceable provision with a valid provision that most closely effects the Parties' intent.

13. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right, nor shall any single or partial exercise of any right preclude other or further exercise of that or any other right.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be effective as originals.

15. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect its interpretation. The obligations and rights of the Parties under this Agreement shall inure to the benefit of and be binding upon their respective successors and permitted assigns.
