CONTRACTOR LICENSE AGREEMENT

This Contractor License Agreement (the Agreement) is made and entered into as of Effective Date: by and between Contractor: (Licensor) and Licensee: (Licensee). Licensor and Licensee are individually a Party and collectively the Parties.

RECITALS

WHEREAS, Licensor develops and owns certain proprietary contractor methods, technical specifications, drawings, software, templates, forms and related materials described below (Licensed Materials) that are valuable and proprietary to Licensor; and

WHEREAS, Licensee desires to obtain a license to use the Licensed Materials in connection with Licensee's provision of contractor services, and Licensor is willing to grant such a license under the terms and conditions set forth herein; and

WHEREAS, the Parties intend by this Agreement to define the scope, limitations, payment, and other obligations with respect to that license.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Licensed Materials" means the written descriptions, drawings, specifications, training materials, manuals, software, templates and other materials described as follows:

2. GRANT OF LICENSE

2.1 License. Subject to the terms and conditions of this Agreement, Licensor hereby grants to Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Materials solely for Licensee's internal performance of contractor services within the Territory and solely for the purposes expressly permitted herein.

2.2 Restrictions. Licensee shall not sell, distribute, sublicense, modify for resale, or otherwise commercialize the Licensed Materials except as explicitly permitted in writing by Licensor. Licensee shall reproduce any proprietary notices included with the Licensed Materials on all permitted copies.

3. TERM AND TERMINATION

3.1 Term. The initial Term of this Agreement shall be years from the Commencement Date, unless earlier terminated as provided herein.

3.2 Termination for Cause. Either Party may terminate this Agreement upon thirty (30) days' written notice if the other Party materially breaches any obligation under this Agreement and fails to cure such breach within the thirty (30) day notice period. Termination shall be without prejudice to any rights or remedies accrued prior to termination.

3.3 Effects of Termination. Upon termination Licensee shall immediately cease all use of Licensed Materials, return or destroy all copies as directed by Licensor, and certify in writing compliance within ten (10) days. Provisions that by their nature survive termination shall so survive, including Sections 5, 6, 8, 10, and 12 hereof.

4. FEES AND PAYMENT

4.1 License Fee. In consideration for the license granted herein, Licensee shall pay Licensor a license fee of payable in accordance with this Section.

4.2 Payment Terms. Licensee shall pay all undisputed invoices within days of receipt. Overdue amounts shall accrue interest at the lesser of 1.5% per month or the maximum permitted by law.

4.3 Taxes. Payments are exclusive of taxes. Licensee shall be responsible for all sales, use, value-added and other taxes related to the license, except taxes based on Licensor's net income.

5. INTELLECTUAL PROPERTY

5.1 Ownership. Licensor retains all right, title and interest in and to the Licensed Materials and any modifications, derivative works and intellectual property rights therein. Nothing in this Agreement transfers title to Licensee.

5.2 Licensee Contributions. If Licensee provides any suggestions, enhancements or modifications to the Licensed Materials, Licensee hereby assigns and agrees to assign all right, title and interest in such contributions to Licensor. To effect such assignment, Licensee shall execute further documents reasonably requested by Licensor.

6. CONFIDENTIALITY

6.1 Confidential Information. "Confidential Information" means non-public information disclosed by one Party to the other that is designated as confidential or that reasonably ought to be understood to be confidential.

6.2 Obligations. The receiving Party shall not disclose Confidential Information to third parties except to its employees or contractors who have a need to know and are bound by comparable confidentiality obligations. Confidentiality obligations shall survive for years following termination.

7. COMPLIANCE AND PERMITS

7.1 Licenses and Permits. Licensee shall, at its sole cost, obtain and maintain all licenses, permits, registrations and approvals necessary to perform contractor services and use the Licensed Materials in the Territory.

7.2 Insurance. Licensee shall maintain at its expense insurance coverages customary for contractor operations, including commercial general liability and workers' compensation. Minimum coverage requirements or special endorsements (if any) are:

8. INDEMNIFICATION

8.1 Indemnity by Licensee. Licensee shall defend, indemnify and hold harmless Licensor and its affiliates, officers, directors and employees from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Licensee's use of the Licensed Materials, breach of this Agreement, or negligent acts or omissions in the performance of contractor services.

8.2 Limits. Notwithstanding the foregoing, the indemnifying Party's total liability for indemnification obligations under this Section shall not exceed unless resulting from gross negligence or willful misconduct.

9. WARRANTIES AND DISCLAIMERS

9.1 Limited Warranty. Licensor represents that it has the right to grant the license granted herein. Licensor further warrants that, to the best of its knowledge, Licensed Materials do not infringe third-party intellectual property rights.

9.2 DISCLAIMER. EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN THIS SECTION, THE LICENSED MATERIALS ARE PROVIDED "AS IS" AND LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. LIMITATION OF LIABILITY

10.1 Exclusion of Consequential Damages. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.2 Aggregate Liability. EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS, EACH PARTY'S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL LICENSE FEES PAID BY LICENSEE TO LICENSOR IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

11. AUDIT RIGHTS

Licensor may, upon reasonable prior written notice and during regular business hours, audit Licensee's relevant records to verify compliance with this Agreement. Licensee shall retain records for a period of at least years. Audit notice shall be at least days.

12. ASSIGNMENT AND SUBCONTRACTING

12.1 Assignment. Neither Party may assign or transfer this Agreement or any rights hereunder without the prior written consent of the other Party, except that Licensor may assign to an affiliate or in connection with a sale of substantially all of its assets.

12.2 Subcontracting. Licensee may engage subcontractors to perform work provided Licensee remains responsible for the acts and omissions of such subcontractors and ensures subcontractors are bound by obligations sufficient to protect Licensor's rights hereunder.

14. AMENDMENTS; WAIVER; SEVERABILITY

14.1 Amendment. This Agreement may be amended only by a written instrument executed by authorized representatives of both Parties.

14.2 Waiver. No waiver of any breach shall be effective unless in writing. A failure to enforce any right shall not constitute a waiver of that or any other right.

14.3 Severability. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

16. ENTIRE AGREEMENT

This Agreement, including any schedules and exhibits expressly incorporated herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.

17. COUNTERPARTS; ELECTRONIC SIGNATURES

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one agreement. Signatures provided by electronic means (including scanned or electronic signature) shall be binding and constitute original signatures.
