CONTRACTOR PSA AGREEMENT

This Contractor Professional Services Agreement (the "Agreement") is entered into effective as of by and between the parties identified below.

Recitals

WHEREAS, Client seeks to engage Contractor to perform certain professional services in accordance with the terms of this Agreement; and

WHEREAS, Contractor has represented that it possesses the expertise, personnel and resources necessary to perform the services described in this Agreement and is willing to provide such services under the terms set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will provide services to Client.

Scope of Work

Contractor shall provide the services, deliverables and milestones described below. Contractor will perform services in a professional, workmanlike manner consistent with industry standards.

Payment Terms

In consideration for Contractor's performance, Client shall pay Contractor the fees and reimburse reasonable expenses as set forth below. All fees are exclusive of taxes unless otherwise stated.

Reimbursable expenses shall be pre-approved in writing by Client and invoiced with supporting receipts. Contractor's personnel shall not be entitled to benefits or payroll deductions from Client.

Term and Termination

The term of this Agreement begins on and continues until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon providing the notice period set forth above. Either party may terminate immediately upon material breach by the other party if such breach remains uncured for fifteen (15) days after written notice.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other, whether written, oral or electronic. The receiving party shall (a) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, and (b) not use or disclose Confidential Information except as necessary to perform under this Agreement or as required by law.

Confidentiality obligations shall survive termination for a period of from the date of disclosure.

Intellectual Property; Work Product

Except as otherwise agreed in writing, all original work product, deliverables and inventions created by Contractor specifically for Client in the performance of this Agreement ("Work Product") shall be deemed "work made for hire" and assigned to Client. Contractor shall execute documents reasonably necessary to effectuate such assignment.

Independent Contractor; Taxes

Contractor is an independent contractor and not an employee or agent of Client. Contractor is solely responsible for all employment taxes, worker's compensation, insurance and benefits for Contractor's personnel.

Indemnification

Each party shall indemnify, defend and hold harmless the other party from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with its obligations under this Agreement. The indemnified party shall provide prompt written notice of any claim and reasonable cooperation in the defense.

Limitation of Liability

Except for liability arising from a party's gross negligence, willful misconduct, breach of confidentiality or indemnification obligations, neither party shall be liable for indirect, incidental, consequential or punitive damages. The aggregate liability of either party for any claim arising under this Agreement shall not exceed the total fees paid to Contractor under this Agreement in the twelve (12) months preceding the claim.

Governing Law; Dispute Resolution

This Agreement shall be governed by the laws of the State of without regard to conflict of law principles. The parties shall attempt to resolve disputes in good faith prior to pursuing arbitration or litigation.

Entire Agreement; Amendments

This Agreement, including all exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior negotiations, proposals and agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

Notices

Notices must be in writing and delivered to the addresses listed above or to such other address as a party designates in writing. Notice is effective upon receipt.

Miscellaneous

If any provision of this Agreement is held unenforceable, the remainder shall remain in full force. Neither party may assign this Agreement without the prior written consent of the other, except in connection with a merger or sale of substantially all assets.
