CONTRACTOR RELEASE AGREEMENT

RECITALS

WHEREAS, Contractor performed certain services for Client pursuant to an agreement between the parties and provided labor, materials, or professional services described as:

WHEREAS, disputes and potential claims have arisen or may arise out of the Services performed through the Effective Date; and

WHEREAS, the parties desire to resolve and settle any and all such claims and to define the parties' respective rights and obligations as set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises contained herein and for other good and valuable consideration, the sufficiency of which is acknowledged, the parties agree as follows:

1. DEFINITIONS

For purposes of this Agreement, "Claims" means any and all past, present or future claims, actions, causes of action, suits, debts, demands, obligations, damages, losses, liabilities, costs and expenses (including attorneys' fees and costs) of every kind and nature, whether known or unknown, suspected or unsuspected, arising out of or in any way connected with the Services rendered by Contractor through the Effective Date.

2. RELEASE

Contractor, on behalf of Contractor and Contractor's heirs, executors, administrators, successors and assigns, hereby fully, finally and forever releases, discharges and covenants not to sue Client, and Client's past and present parent companies, subsidiaries, affiliates, officers, directors, employees, agents, successors and assigns (collectively, the "Released Parties"), from any and all Claims arising out of or related to the Services through the Effective Date, except as expressly reserved in this Agreement.

3. CONSIDERATION

In consideration for the release granted herein, Client shall pay Contractor the sum of USD (the "Payment") upon execution of this Agreement and receipt of a properly executed release and any required supporting documentation. Payment constitutes full and complete consideration for the claims released herein.

4. EXCEPTIONS AND RESERVATIONS

Notwithstanding the foregoing, this Agreement does not release: (a) any claims that cannot be released as a matter of law; (b) claims arising after the Effective Date; or (c) Contractor's rights, if any, to enforce the terms of this Agreement.

5. REPRESENTATIONS AND WARRANTIES

Contractor represents and warrants that Contractor has the full power and authority to execute this Agreement; that Contractor has not assigned or transferred any Claims released herein; that Contractor has read and understands the terms of this Agreement; and that Contractor has been given the opportunity to seek independent legal counsel.

6. RETURN OF PROPERTY

Contractor agrees to return to Client all Client property, documents, records, materials and confidential information in Contractor's possession related to the Services within days of execution of this Agreement.

7. CONFIDENTIALITY

The parties agree that the terms, amount, and existence of this Agreement are confidential and shall not be disclosed to any third party except as required by law or to professional advisors who are bound to maintain confidentiality. Any permitted disclosure shall be limited to the minimum information necessary.

8. INDEMNIFICATION

Contractor agrees to indemnify, defend and hold harmless the Released Parties from and against any and all third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Contractor's breach of this Agreement, Contractor's negligence, willful misconduct, or Contractor's failure to return Client property.

9. NO ADMISSION

The parties acknowledge and agree that this Agreement constitutes a compromise of disputed claims and that neither the Payment nor any action taken pursuant to this Agreement shall be construed as an admission of liability by any party.

10. TAXES

Contractor acknowledges that Contractor is solely responsible for any taxes, reporting obligations, or withholdings associated with the Payment, and Contractor shall indemnify Client for any tax liability arising from Contractor's failure to satisfy such obligations.

11. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above by personal delivery, certified mail (return receipt requested), courier, or other method that provides evidence of delivery, and shall be effective upon receipt.

12. AMENDMENT; WAIVER

This Agreement may be amended or modified only by a written instrument signed by both parties. No waiver of any breach of this Agreement shall be effective unless in writing and signed by the party granting the waiver.

13. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be binding.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT; SEVERABILITY

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. FURTHER ASSURANCES

Each party agrees to execute and deliver such further documents and take such further actions as may be reasonably necessary to carry out the provisions and purposes of this Agreement.
