CONTRACTOR SERVICES PRODUCER AGREEMENT

This Contractor Services Producer Agreement (the "Agreement") is made and entered into as of Effective Date: by and between Producer Name: , an entity formed as Individual Corporation LLC Other, with principal place of business at , and Contractor Name: , an entity formed as Individual Corporation LLC Other, with principal place of business at .

RECITALS

WHEREAS, Producer is engaged in the development, production, marketing and exploitation of audio, video, digital and related content and desires to obtain certain services in connection with such activities; and

WHEREAS, Contractor has expertise and experience in providing the services described herein and is willing to provide such services to Producer on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties wish to set forth their respective rights and obligations with respect to Contractor's provision of services to Producer.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

1. SERVICES

1.1 Services. Contractor shall provide the services described in the Service Description attached hereto or described below (the "Services"). Contractor shall perform the Services in a timely, professional and workmanlike manner in accordance with industry standards.

2. TERM

2.1 Term. The term of this Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with Section 11.

3. COMPENSATION

3.1 Fees. As full compensation for the Services, Producer shall pay Contractor the fees set forth below. All fees shall be payable in United States dollars.

3.2 Invoices. Contractor shall submit invoices in reasonable detail describing the Services performed and expenses incurred. Producer shall pay undisputed invoices within the time specified in the Payment Terms.

4. EXPENSES

4.1 Reimbursable Expenses. Producer shall reimburse Contractor for reasonable and pre-approved out-of-pocket expenses incurred in connection with performance of the Services upon submission of receipts or other documentation acceptable to Producer.

5. INDEPENDENT CONTRACTOR; TAXES

5.1 Independent Contractor. Contractor is an independent contractor and nothing in this Agreement shall be construed to create an employment, partnership, joint venture, agency or fiduciary relationship. Contractor shall have exclusive control over the means and methods of performing the Services.

5.2 Taxes. Contractor shall be solely responsible for all federal, state and local taxes, withholdings and other statutory obligations relating to Contractor's performance of the Services.

6. CONFIDENTIALITY

6.1 Confidential Information. Contractor acknowledges that in connection with performance under this Agreement it may receive Confidential Information of Producer. Contractor shall hold all Confidential Information in strict confidence and shall not use or disclose such information except as necessary to perform the Services or as expressly authorized in writing by Producer.

7. INTELLECTUAL PROPERTY; WORK PRODUCT

7.1 Ownership. All Work Product, including without limitation inventions, designs, know-how, scripts, recordings, edits, deliverables and other materials created, developed or delivered by Contractor in the course of performing the Services shall be deemed "works made for hire" and shall be the sole and exclusive property of Producer. To the extent any Work Product does not qualify as a work made for hire, Contractor hereby assigns and agrees to assign to Producer all right, title and interest in and to such Work Product worldwide.

7.2 Moral Rights. To the fullest extent permitted by law, Contractor hereby irrevocably waives and agrees not to assert any moral rights in any Work Product.

8. REPRESENTATIONS AND WARRANTIES

Contractor represents and warrants that (a) Contractor has the full right, power and authority to enter into this Agreement; (b) the Services and Work Product will not infringe or misappropriate any third party intellectual property or other rights; and (c) Contractor will comply with all applicable laws in performing the Services.

9. INDEMNIFICATION

Contractor shall indemnify, defend and hold harmless Producer and its officers, directors, employees and agents from and against all third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) Contractor's breach of any representation, warranty or covenant in this Agreement; (b) Contractor's negligent acts or omissions or willful misconduct; or (c) any allegation that the Services or Work Product infringe or misappropriate any third party rights.

10. INSURANCE

Contractor shall maintain at its expense commercial general liability insurance and professional liability insurance with limits not less than the amounts set forth below and shall, upon request, provide certificates of insurance naming Producer as additional insured to the extent reasonably required.

11. TERMINATION

11.1 Termination for Convenience. Either party may terminate this Agreement for convenience upon __________ days' prior written notice to the other party. Notice period:

11.2 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

11.3 Effect of Termination. Upon termination, Producer shall pay Contractor for Services satisfactorily performed through the termination date and Contractor shall deliver to Producer all Work Product and Confidential Information.

12. NOTICES

12.1 Method. All notices, consents and other communications required or permitted under this Agreement shall be in writing and shall be delivered personally, sent by certified mail (return receipt requested), nationally recognized overnight courier, or by other commercially reasonable means to the addresses set forth below or to such other address as a party may specify by notice.

13. MISCELLANEOUS

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflicts of law principles.

13.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements, proposals, statements or representations, whether oral or written, with respect to the subject matter hereof.

13.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be reformed only to the extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

13.4 Amendments; Waiver. No amendment or modification of this Agreement shall be effective unless in a writing signed by both parties. No waiver shall be effective unless in writing and signed by the party granting the waiver.

13.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which taken together shall constitute one instrument. Signatures delivered by electronic means shall be deemed original signatures.
