- 1 - ACUERDO CON UN CONTRATISTA INDEPENDIENTE EL PRESENTE ACUERDO se celebra por y entre _________________ (en adelante denominado en el presente "________________") de _________________, _________________ y _________________ (en adelante denominado en el presente el "Contratista") en la fecha que aparece más abajo. POR CUANTO, _________________ y el Contratista formalizan un contrato y acuerdo por el cual el Contratista realizará ciertas obras, prestará servicios, proveerá mano de obra y/o entregará materiales a, y para el beneficio de, _________________ por una causa contractual con fines de lucro. CONSECUENTEMENTE, a cambio de pactos de obligación mutua contenidos en el presente y por toda otra causa contractual con fines de lucro, justa y valedera, cuyo rec ibo y suficiencia se reconocen por este medio, _________________ y el Contratista acuerdan, convienen y pactan por este instrumento lo siguiente, con relación al mismo: 1. El Contratista no es y jamás será, un apoderado o empleado de _________________, y el Contratista no tendrá ninguna facultad ni autoridad para ceder en garantía ni para intentar ceder en garantía ni para vincular u obligar a _________________ de ninguna manera o a ningún efecto. El _________________ no exigirá al Contratista y no tiene derecho a lo siguiente: que se presente a ningún lugar, ni en ningún horario, con ningún propósito; que dedique ningún tiempo u horas en particular al negocio del Contratista; que confine las actividades del Contratista a cualquier tipo en particular de cliente o a cualquier territorio - 2 - en particular; que siga horarios o itinerarios; que haga informes de ninguna naturaleza; o que se abstenga de participar en cualquier otro tipo de negocios. 4. El Contratista reconoce que el tiempo es esencial en este contrato y conviene y acuerda en que todas las obras, los servicios, la mano de obra y/o los materiales se complet arán antes de _________________. Si el Contratista no completa ni provee todas las obras, los servicios, la mano de obra y/o los materiales antes de la fecha especificada anteriormente, el Contratista conviene en que _________________ tendrá derecho a procurarse los servicios de uno o más contratistas a los efectos de completar o proveer l as citadas obras, los servicios, la mano de obra y/o los materiales y que _________________ tendrá derecho a compensar y deducir el costo y los gastos de haber tenido que apelar a estos otros contratistas por las cantidades adeudadas al Contratist a en virtud del presente. 5. El Contratista acuerda y conviene por este medio, por sí mismo y en nombre de sus causahabientes, albaceas testamentarios, administradores, oficiales, empleados, subcontratistas, sucesores y cesionarios, en indemnizar y eximir de toda responsabilidad a _________________ y a sus causahabientes, albaceas testamentarios, administradores, oficiales, empleados, subcontratistas, sucesores y cesionarios de todo y cualquier reclamo, demanda, acciones, causas de acción, juicios legales o bajo el si stema de “equity”, daños, costos, gastos y pérdidas de cualquier tipo o naturaleza que fuere, conocidas o desconocidas en el presente, que puedan no existir o que puedan surgir más delante de las obras, los servicios, la mano de obra y/o los materiales que el Contratista o sus subcontratistas realizarán o prestarán para beneficio de _________________. 6. El Contratista garantiza y conviene asimismo que realizará y proveerá dichas obras, los servicios, la mano de obra y/o los materiales de acuerdo con las especificaciones adjuntas al presente como Anexo "A" y de una manera concienzuda y que mantendrá todos los bienes de _________________ libres y exentos de todo derecho preferencial y gravámenes. 7. Las disposiciones del presente Acuerdo serán vinculantes para, y redundarán en beneficio de, los herederos, representantes personales, sucesores y cesionarios de las partes. 8. En caso de incumplimiento según lo estipulado en el presente Acuerdo, la parte i nfractora deberá rembolsar a la parte no infractora todos los costos y gastos en los que la part e no - 3 - infractora hubiera tenido que incurrir con relación a la violación citada, lo cual incluye sin limitaciones, las costas judiciales y los honorarios del abogado, tanto referidos al juicio como a la apelación. 9. Ninguna renuncia a alguna de las disposiciones del presente Acuerdo se estimará ni constituirá, una renuncia a las demás disposiciones, independientemente de que sean o no similares, ni tampoco una renuncia habrá de constituir una renuncia continua. Ninguna renuncia será vinculante a menos que se formalice por escrito por la parte que la realiza. 10. El presente Acuerdo se regirá e interpretará de acuerdo con las leyes del Esta do de _________________. 11. Este Acuerdo constituye el acuerdo indiviso entre las partes en cuanto compete al objeto del mismo y reemplaza a todos los acuerdos contemporáneos previos, declaraciones y entendimientos entre las partes. Contractor acknowledges that time is of the essence in this contract and covena nts and agrees that all work, services, labor and/or material shall be completed prior to - 2 - _________________. The provisions of this Agreement shall be binding upon and inured to the benefit of the heirs, personal representatives, successors and assigns of the parties. 8. In the event of a default under this Agreement, the defaulting party shall reimburse the non-defaulting party for all costs and expenses incurred by the non-defaulting party in connection with the default, including without limitation, court costs and attorne y's fees at the trial level and on appeal. 9. No waiver of any provision of this Agreement shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by the party making the waiver. 10.
