What a Contribution Settlement Agreement Covers

A Contribution Settlement Agreement is a binding contract that documents the transfer, allocation, or reconciliation of capital, assets, membership interests, or other contributions among parties. It sets out the contributed property or cash, any consideration or offsets, allocation of ownership or membership interests, effective date, schedules, representations, warranties, indemnities, and dispute resolution terms. The agreement often attaches exhibits such as contribution schedules, capitalization tables, or promissory notes and is used to close gaps after mergers, reorganizations, or capital adjustments to avoid future claims and clarify tax reporting.

Why a Clear Contribution Settlement Agreement Matters

A clear agreement reduces disputes by documenting exactly what was contributed, who bears tax consequences, and how ownership or obligations change. It allocates risk, defines remedies, and preserves evidence needed for tax reporting and corporate records.

Why a Clear Contribution Settlement Agreement Matters

Who Commonly Prepares or Signs This Agreement

Typical users include corporate counsel, finance teams, private equity sponsors, and LLC managers who must record capital changes and settle claims between members.

  • Corporate counsel and in-house attorneys who draft warranty and indemnity language and check tax and governance implications.
  • Finance and accounting teams that reconcile contributed assets, update capitalization tables, and prepare tax reporting documentation.
  • Company executives, managing members, or limited partners who approve the contribution, sign, and authorize transfers on behalf of the entity.

Each signer should confirm signing authority and review tax treatment with counsel or a tax advisor before execution.

Who Signs and Why

General Counsel

In-house or outside counsel reviews representations, indemnities, and governing law provisions to ensure the settlement does not create unexpected liabilities and that the agreement aligns with corporate governance documents.

Managing Member

A managing member or authorized officer signs to bind the entity, confirm the accurate contribution description, and certify that consideration and allocations reflect the parties' agreement.

Core Sections to Include in a Professional Agreement

A comprehensive Contribution Settlement Agreement has a predictable structure so readers can find obligations, tax allocations, and remedies quickly.

Parties

Full legal names and entity types for each contributing and receiving party, including jurisdiction of formation and contact addresses to avoid ambiguity in enforcement or tax reporting.

Contribution Description

A detailed schedule or exhibit that identifies each asset or cash amount, any serial numbers or account identifiers, and the effective transfer date to support title and accounting entries.

Consideration and Allocation

Precise statement of consideration (cash, equity, debt offset) and method for allocating ownership, capital accounts, or membership interests after the contribution.

Representations and Warranties

Seller and buyer warranties about authority, title, absence of liens, and factual statements that the parties rely on and that trigger indemnities if breached.

Indemnity and Release

Scope of indemnification, caps, survival periods, and express releases of pre-existing claims to reduce future disputes and define remedies.

Governing Law & Dispute Resolution

Choice of law, venue, and whether arbitration or court litigation applies — crucial for predictability and enforcing obligations across jurisdictions.
