Contributor Services Agreement

This Contributor Services Agreement ("Agreement") is made as of Effective Date: Month Day Year by and between Company Name: , a (Company), and Contributor Name: , an .

RECITALS

WHEREAS, Company operates a publication, platform, or product and desires to engage Contributor to prepare certain content, materials, and services as described in this Agreement; and

WHEREAS, Contributor represents that Contributor has the experience, qualifications, and ability to perform the services described herein and is willing to provide such services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that all Work Product created by Contributor as part of the engagement shall be owned by Company subject to the terms below.

NOW, THEREFORE, in consideration of the mutual covenants and promises set forth herein, the parties agree as follows:

1. SERVICES

1.1 Services. Contributor shall perform the services and deliverables described in the Services Specification below (the "Services"). Contributor shall perform the Services in a professional and workmanlike manner in accordance with industry standards and the schedule set forth in this Agreement.

1.2 Change Orders. Any material change to the scope, schedule, or compensation shall be documented in a written change order signed by authorized representatives of both parties.

2. TERM

2.1 Term. The term of this Agreement shall commence on the Effective Date set forth above and continue until completion of the Services or until terminated in accordance with Section 11. Start Date: Month Day Year ; End Date: Month Day Year

2.2 Renewal. Any renewal or extension of the Term shall be in writing and signed by both parties.

3. COMPENSATION

3.1 Fees. Company shall pay Contributor the fees set forth below for the Services. Unless otherwise agreed in writing, payments shall be made in U.S. dollars in accordance with the payment schedule.

3.2 Taxes. Contributor is solely responsible for all federal, state and local taxes, contributions and premiums with respect to payments made under this Agreement.

4. EXPENSES

Company shall reimburse Contributor for pre-approved, reasonable out-of-pocket expenses incurred in connection with the Services upon submission of receipts or other supporting documentation within sixty (60) days of incurrence.

5. INDEPENDENT CONTRACTOR

Contributor is an independent contractor and not an employee, agent, or partner of Company. Contributor shall have no authority to bind Company. Contributor shall be responsible for all workers' compensation, disability and other employment-related obligations for Contributor's personnel.

6. CONFIDENTIALITY

6.1 Confidential Information. Contributor will have access to confidential and proprietary information of Company. Contributor shall hold such information in confidence and not disclose or use it except as necessary to perform the Services.

7. INTELLECTUAL PROPERTY; ASSIGNMENT

7.1 Work Product. Except for Contributor's pre-existing materials, all materials, content, deliverables, and inventions conceived, created or developed by Contributor in connection with the Services (collectively, "Work Product") shall be considered work made for hire and shall be the exclusive property of Company. To the extent any Work Product is not a work made for hire, Contributor hereby irrevocably assigns, transfers and conveys to Company all right, title and interest in and to the Work Product, including all copyrights and other intellectual property rights worldwide.

7.2 Moral Rights. Contributor hereby waives and agrees not to assert any moral rights or similar rights in any Work Product and agrees to execute any further documents necessary to effectuate the assignment.

8. WARRANTIES AND REPRESENTATIONS

Contributor represents and warrants that: (a) Contributor has the full right and authority to enter into this Agreement and grant the rights herein; (b) the Services and Work Product will be original and will not infringe or misappropriate the rights of any third party; and (c) Contributor will perform the Services in accordance with all applicable laws and regulations.

Company represents that it has the right to enter into this Agreement and that it will provide necessary cooperation and materials as reasonably requested by Contributor.

9. INDEMNIFICATION

Contributor shall indemnify, defend and hold harmless Company, its officers, directors and employees from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from Contributor's breach of this Agreement, infringement claims relating to the Work Product, or Contributor's negligent or willful acts.

10. INSURANCE

If applicable, Contributor shall maintain insurance coverage sufficient to cover its obligations under this Agreement and shall provide certificates of insurance upon request.

11. TERMINATION

11.1 Termination for Cause. Either party may terminate this Agreement for material breach by the other party if the breach remains uncured thirty (30) days after written notice specifying the breach.

11.2 Termination for Convenience. Company may terminate this Agreement for convenience upon fifteen (15) days' prior written notice to Contributor, in which case Contributor shall be paid for Services performed through the effective date of termination and for reasonable wind-up costs, if any.

11.3 Effect of Termination. Sections concerning Ownership, Confidentiality, Indemnification, Payment for Services, and Survival shall survive termination.

12. NOTICES

All notices under this Agreement shall be in writing and delivered to the addresses set forth below by certified mail, reputable overnight courier, or email with confirmation of receipt.

13. AMENDMENTS; WAIVER

Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties. No waiver of any provision shall be effective unless in writing and signed by the waiving party.

14. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

15. ENTIRE AGREEMENT

This Agreement, including any exhibits and schedules attached hereto, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral.

16. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.

17. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be deemed originals for all purposes.
