What a Control Agreement Is and when it’s used

A Control Agreement Template is a standardized legal form used when a secured party needs a third party (typically a bank or custodian) to acknowledge that it holds collateral subject to a security interest. The template documents the parties, the collateral (for example, deposit accounts, securities, or investment accounts), and the custodian’s agreement to follow instructions from the secured creditor. Control agreements are commonly used to perfect or maintain priority in collateral without physical possession and to coordinate rights among debtor, creditor, and account holder.

Why a clear Control Agreement Template matters

Using a well-structured template reduces drafting time, clarifies responsibilities between the secured party and third-party custodian, and helps protect priority in secured collateral. It also creates a durable record that can be executed electronically where permitted by federal and state law, supporting consistent enforcement and auditability.

Why a clear Control Agreement Template matters

Who typically uses this Control Agreement Template

Each party’s legal department or external counsel usually reviews the completed agreement before execution to confirm wording aligns with commercial terms and applicable law.

  • Commercial lenders securing deposit accounts, securities, or investment property.
  • Corporate borrowers that grant security interests and must document third-party custody arrangements.
  • Banks, brokers, or custodians asked to accept control or follow creditor instructions.

Core components to include in a professional template

A professional Control Agreement Template includes distinct sections that identify parties, define collateral, set control mechanics, and provide execution and termination language to avoid ambiguity.

Parties

Full legal names and organizational form for the secured party, debtor, and custodian; include state of organization and any DBAs to ensure matching to corporate records.

Collateral Description

A clear description of the property or accounts subject to control, using account numbers, security identifiers, or reference exhibits so the custodian can identify assets without ambiguity.

Control Mechanics

Language specifying how the custodian will accept instructions from the secured party, including permitted communication methods and any authentication requirements.

Rights and Limitations

Clauses describing the custodian’s obligations, permitted disclosures, setoff rights, and conditions under which funds or securities may be released.

Execution and Effective Date

Signature blocks for all parties, execution date, and a statement when the agreement becomes effective; include any required corporate authorization language or officer certification.

Termination and Replacement

Procedures for termination, replacement of accounts or custodians, and an acknowledgment of notice requirements to preserve security interests during transition.

Step-by-step: completing and executing the template

Follow these sequential steps to complete the Control Agreement accurately and efficiently.

  • 01
Prepare draft: Populate party and collateral fields with verified account identifiers.
  • 02
Review legal terms: Confirm control mechanics and termination procedures with counsel.
  • 03
Obtain custodian approval: Send the draft to the bank or broker for acceptance.
  • 04
Execute and retain: Have authorized signatories sign, then save executed copies for all parties.

Where to send and how the executed agreement is processed

A completed Control Agreement must be routed to the custodian and retained by the secured party; follow custodian-specific submission processes.

  • Custodian Delivery: Send original or electronically signed copy to the custodian’s legal or collateral desk.
  • Secured Party File: Store an executed copy in the secured party’s loan file or credit platform.
  • Debtor Record: Provide debtor with a counter-signed copy for its records.
  • Operational Notice: Notify operations teams to apply control in custody systems.
