What a Control Person Agreement Is and when it matters

A Control Person Agreement is a legal document that identifies individuals who exercise significant influence or control over an entity, typically for regulatory, tax, or contractual compliance. It defines the control person’s duties, authority limits, disclosure obligations, and effective dates. Organizations use this agreement to document who is authorized to make decisions, sign on behalf of the entity, or satisfy vendor or regulator due diligence. The form is commonly requested by financial institutions, government agencies, and counterparties that must verify control for anti-money laundering, securities, or tax-reporting purposes.

Why a clear Control Person Agreement reduces risk

A precise Control Person Agreement documents authority and contact information, helping organizations meet regulatory checks and reduce disputes.

Typical users and stakeholders

The Control Person Agreement is used by corporate officers, compliance teams, HR, external counsel, and financial institutions during onboarding or due-diligence.

  • Corporate officers: confirm delegated signing authority and operational limits for contracts and banking.
  • Compliance teams: collect ownership/control data to meet AML, sanctions, and KYC requirements.
  • Financial institutions: verify who can open accounts, authorize transfers, or receive tax documents.

Different users focus on specific sections: compliance reviews disclosures, finance validates tax data, and third parties verify signature authority.

Key timing and deadline considerations

Identify dates that affect obligations, tax reporting, or regulatory filings and schedule workflows to meet those deadlines.

Effective Date Entry:

Record MM/DD/YYYY to establish when authority begins.

Tax Reporting Deadlines:

Provide required control data to payers before IRS deadlines for information returns.

Contract Renewals:

Review and renew control authorizations before expiration to avoid lapse.

Record Retention Start:

Retention typically begins on execution or termination date.

Notary Scheduling:

Allow additional time if remote notarization or witness coordination is required.

Common preparation mistakes to avoid

  • Using nicknames or initials instead of legal names, which can break identity checks and tax reporting.
  • Failing to specify effective or termination dates, producing ambiguity about when authority is valid.
  • Omitting witness or notary steps when the recipient or state requires them, risking unenforceability.
  • Relying on insufficient authentication for high-risk control signers, which can undermine audit confidence.

Consequences of incomplete or incorrect agreements

Regulatory Risk: Fines or enforcement actions
Tax Impact: Backup withholding or penalties
Contract Invalidity: Signatures may not bind the entity
Operational Delay: Blocked account openings or transactions
Reputational Harm: Customer or partner distrust
Litigation Exposure: Increased dispute risk
