Defaults and Remedies

Upon occurrence of an Event of Default, Lender may, at its option, accelerate all sums owed, exercise conversion rights to the extent permitted by the Note, and pursue all other rights and remedies available at law or equity.

Each party represents and warrants to the other that: (a) it has full corporate power and authority to enter into this Extension and to perform its obligations hereunder; (b) the execution and delivery of this Extension and the performance hereunder have been duly authorized and do not contravene any agreement or law; and (c) this Extension constitutes a valid and binding obligation enforceable in accordance with its terms, except as enforceability may be limited by bankruptcy, insolvency, moratorium, or other laws affecting creditors' rights generally and by general equitable principles.

All notices, demands and communications under this Extension shall be in writing and shall be delivered to the addresses below (or to such other address as a party designates by written notice).

Miscellaneous

This Extension amends the Note only to the extent expressly set forth herein. Except as amended hereby, the terms of the Note remain in full force and effect. This Extension may be executed in counterparts and by electronic signature, each of which shall be an original and all of which together shall constitute one instrument. No waiver shall be effective unless in writing signed by the waiving party.
