COOKING INSTRUCTION AGREEMENT

This Cooking Instruction Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Client desires to obtain cooking instruction services, recipe documentation, and related instructional deliverables for culinary use and training; and

WHEREAS, Provider is engaged in the business of providing culinary instruction, recipe development, and associated training materials and has experience, personnel, and facilities necessary to provide such services; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will prepare, deliver, and, where applicable, demonstrate cooking instructions and related materials to Client.

SCOPE OF WORK

Provider shall perform the services described below and deliver the associated materials in accordance with the terms of this Agreement.

Client shall pay Provider for the services and deliverables as set forth below. All amounts are payable in U.S. Dollars unless otherwise agreed in writing.

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

CONFIDENTIALITY

The parties acknowledge that during performance Provider and Client may disclose Confidential Information, including but not limited to proprietary recipes, techniques, ingredient formulations, and instructional methods (collectively Confidential Information). Each party shall: (a) maintain Confidential Information in strict confidence; (b) not use Confidential Information except to perform under this Agreement; and (c) not disclose Confidential Information to any third party except to employees or contractors who have a need to know and are bound by nondisclosure obligations at least as protective as those set forth herein.

Confidential Information shall not include information that (i) is or becomes publicly known through no breach of this Agreement, (ii) is rightfully received from a third party without restriction, or (iii) is independently developed without use of Confidential Information.

INTELLECTUAL PROPERTY; LICENSE

Unless otherwise agreed in writing, Provider retains ownership of any pre-existing intellectual property and original training materials, recipes, techniques, and proprietary methods developed by Provider (Provider Materials). Provider grants Client a non-exclusive, non-transferable, revocable license to use delivered recipes and instructional materials solely for Client's internal, non-commercial use as specified in the Scope of Work. Any assignment of Provider's IP requires an express written agreement signed by both parties and, where applicable, payment of agreed additional consideration.

WARRANTIES; LIMITATION OF LIABILITY; INDEMNIFICATION

Provider warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES EXCEPT TO THE EXTENT ARISING FROM WILLFUL MISCONDUCT OR GROSS NEGLIGENCE. Client shall indemnify and hold Provider harmless from claims arising from Client's misuse of recipes or instructional materials or failure to follow safety instructions; Provider shall indemnify Client for claims arising from Provider's negligence in performance of the instructional services.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, together with any attached statements of work or schedules expressly incorporated by reference, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements. No amendment or waiver shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Notices under this Agreement shall be in writing and delivered to the addresses set forth at the beginning of this Agreement. If any provision is held invalid, the remainder shall remain in full force. The parties are independent contractors; nothing creates an employment, joint venture, or agency relationship.
