What the Cooley Business Services Agreement Is

The Cooley Business Services Agreement is a standard professional services contract used to document the scope, deliverables, fees, and responsibilities between a business services provider and a client. It establishes performance milestones, payment terms, confidentiality obligations, intellectual property allocation, termination rights, and dispute resolution processes. This template supports consistent project management, reduces ambiguity about service expectations, and provides a legal basis for enforcement if obligations are not met. It is intended for use across industries where a firm delivers advisory, operational, or support services under a defined statement of work.

Why a Clear Agreement Matters

A clear Cooley Business Services Agreement clarifies roles, reduces disputes, and protects both parties by defining payment schedules, deliverables, and remedies. It streamlines onboarding and provides a basis for compliance, auditability, and enforceability under U.S. electronic signature laws.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users and roles that complete the Cooley Business Services Agreement include internal legal teams, operations managers, and external service providers.

  • In-house counsel and contract managers who negotiate terms and approve signatures.
  • Operations and project leads who verify deliverables, milestones, and acceptance criteria.
  • Independent consultants and agency vendors engaged to perform services under the agreement.

Use the agreement when work spans multiple departments, exceeds informal approvals, or involves material IP or payment obligations.

Who Signs on Behalf of Organizations

General Counsel

Typically the primary reviewer for enterprise clients, the General Counsel confirms that liability caps, indemnities, confidentiality, and IP assignment align with company policy. They coordinate redlines, confirm jurisdiction provisions, and authorize signature by an officer with binding authority.

Vendor CEO

A vendor CEO or authorized officer signs contracts that commit the company to deliverables and payment terms; they ensure contract language matches operational capacity, accept risk allocation, and delegate project managers for performance monitoring and client communication.

Scope

Describe services with measurable deliverables, acceptance criteria, timeline, and responsibilities for change orders. Attach statement of work as an exhibit to avoid scope creep and billing disputes.

Compensation

Specify fees, invoicing frequency, payment methods, late payment interest, expense reimbursement, and conditions for withholding or setoff. Tie payments to milestone acceptance where appropriate and currency.

Confidentiality

Define confidential information, permitted disclosures, duration of obligations, and required safeguards. Include return or destruction procedures and carve-outs for independently developed or publicly known information.

IP

Termination

List termination for convenience and for cause, notice requirements, cure periods, and post-termination obligations such as final payment, transition assistance, and return of materials and records.

Dispute Resolution

Specify governing law, venue, and whether disputes go to arbitration or court; include fee-shifting, injunctive relief, and escalation steps prior to formal proceedings, plus confidentiality protections.

Practical Features to Support Execution and Records

Practical features assist completion, signature capture, version control, and export in standard formats for storage, legal review, or regulatory submissions.

Supporting Docs

Attach exhibits such as SOWs, invoices, proof of insurance, and background check results. Include signed addenda that modify scope or fees and keep the exhibit index up to date.

Export Formats

Save executed agreements as PDF/A for long-term archiving, DOCX for editable records, and retain the audit trail as a separate file to preserve signing metadata and timestamps.

Audit Trail

Maintain a tamper-evident audit record including signer identity, IP address, authentication method, timestamp, and a history of document edits and field changes stored with the executed copy.

Templates

Create reusable templates for recurring engagement terms, embed conditional fields for variable pricing, and restrict template edits to authorized administrators to prevent unauthorized changes and preserve version history.

Best Practices for Faster, Cleaner Agreements

Best practices help reduce negotiation time, enforceability risks, and downstream disputes when using the Cooley Business Services Agreement.

Use clear measurable acceptance criteria
Define objective tests, sample deliverables, and approval signoffs. Tie payment milestones to acceptance, require written signoff within a specified window, and include remedies for rejected work and rework obligations.
Confirm signer authority and roles
Verify the capacity of signers, obtain corporate resolutions or POAs when needed, and confirm witness or notary requirements per state law. Document the authority source in the file for audit and enforcement.
Keep version control and change log
Track all edits, redlines, and comments in a single source; prohibit side letters unless attached as exhibits. Ensure each executed version includes a version number, effective date, and a signed amendment if changes occur post-execution.
Preserve audit trail and backups
Store the executed agreement, audit log, and attachments in a secure repository with access controls. Maintain offsite backups and record retention policy consistent with tax, employment, and healthcare regulations to satisfy audits.
