This Copyright License Request Form (the "Request") is entered into as of Effective Date: by and between Licensor Name: ("Licensor") and Licensee Name: ("Licensee").

RECITALS

WHEREAS, Licensor is the owner or authorized agent of certain copyrighted works and rights therein and desires to permit Licensee to use specified copyrighted material on the limited terms set forth below; and

WHEREAS, Licensee has requested from Licensor a license to use the copyrighted material described herein for the purposes and uses set forth in this Request; and

WHEREAS, the parties intend that any license granted will be non-exclusive or exclusive as expressly indicated below and subject to the warranties, restrictions and conditions contained in this Request.

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1.1 "Licensed Material" means the copyrighted works, recordings, images, text, source files and associated materials identified in Section 2 below, and any authorized revisions delivered pursuant to this Request.

7. Termination

7.1 Either party may terminate this Request upon written notice if the other party materially breaches any provision of this Request and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

7.2 Upon termination, Licensee shall cease all uses of the Licensed Material and shall, at Licensor's election, return or destroy all copies of the Licensed Material and certify such destruction in writing.

8. Representations and Warranties

8.1 Licensor represents and warrants that it has the full right, power and authority to grant the rights granted herein and that, to the best of Licensor's knowledge, the Licensed Material does not infringe the rights of any third party.

8.2 Licensee represents and warrants that its intended use does not contravene applicable law and that it will comply with the restrictions and crediting requirements set forth in Section 9.

9.1 Credit: Licensee shall provide the following credit line in all public uses:

10.2 Limitation of Liability: Except for indemnification obligations or a party's willful misconduct, neither party shall be liable for incidental, consequential, special or punitive damages arising out of or related to this Request.

11. Confidentiality

11.1 The parties agree that any non-public information exchanged in connection with this Request that is identified as confidential shall be held in confidence and used only for the purposes of performing obligations under this Request, except as required by law.

12. Notices

12.1 All notices under this Request must be in writing and delivered to the addresses set forth above by nationally recognized overnight courier, hand delivery, or electronic delivery with confirmation. Notices shall be deemed effective upon receipt.

13. Amendments; Waiver; Counterparts

13.1 No amendment or modification of this Request shall be effective unless in writing and signed by authorized representatives of both parties. No waiver of any provision shall constitute a waiver of any other provision or of the same provision on another occasion.

13.2 This Request may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by electronic means shall be binding.
