CORPORATE BY-LAWS

This Corporate By-Laws (these By-Laws) are adopted by the Board of Directors of the corporation identified below for the regulation and management of the affairs of the corporation.

RECITALS

WHEREAS, the corporation was duly organized and exists under the laws of the State of and has the legal authority to adopt bylaws for its governance; and

WHEREAS, the Board of Directors deems it advisable and in the best interests of the corporation to adopt By-Laws setting forth the manner in which the corporation shall be governed, the duties of officers and directors, and procedures for meetings and corporate acts; and

NOW, THEREFORE

In consideration of the foregoing recitals and the authority vested in the Board of Directors, the corporation hereby adopts the following By-Laws:

1. OFFICES

1.1 Principal Office. The principal office of the corporation shall be at the address set forth above, or at such other place as the Board of Directors may determine.

2.1 Authorized Shares. The total number of shares of stock that the corporation is authorized to issue and the par value per share shall be as set forth in the Articles of Incorporation. Authorized Shares: Par Value:

2.2 Shareholder Meetings. Annual and special meetings of shareholders shall be held at the times and places designated by the Board of Directors. Notice of meetings shall be given in accordance with Section 9 of these By-Laws.

2.3 Quorum and Voting. Except as otherwise provided by law or the Articles of Incorporation, a majority of the outstanding shares entitled to vote, represented in person or by proxy, shall constitute a quorum at a meeting of shareholders. 3. BOARD OF DIRECTORS

3.1 General Powers. The business and affairs of the corporation shall be managed by or under the direction of the Board of Directors, which may exercise all powers of the corporation except as otherwise provided by law, the Articles of Incorporation, or these By-Laws.

3.2 Number and Qualification. The number of directors constituting the Board shall be unless changed by amendment to these By-Laws. Directors need not be shareholders unless so required by law.

3.3 Election and Term. Directors shall be elected at each annual meeting of shareholders and shall serve until their successors are elected and qualified. Term length in years:

3.4 Meetings, Quorum and Action. A majority of the Board constitutes a quorum for the transaction of business unless otherwise required. Unless a greater proportion is required, action on any matter requires the affirmative vote of a majority of directors present at a meeting at which a quorum is present.

3.5 Removal and Vacancies. Any director may be removed with or without cause by the shareholders as provided by law. Vacancies on the Board may be filled by a majority of the remaining directors.

4. OFFICERS

4.1 Officers. The officers of the corporation shall include a President (or Chief Executive Officer), a Secretary, and a Treasurer, and such other officers as the Board may appoint. Officers shall be elected by the Board and shall serve at the pleasure of the Board.

4.2 Duties. The President shall have general supervision of the business and affairs of the corporation. The Secretary shall keep the minutes of meetings and custody of corporate records. The Treasurer shall have charge of corporate funds and financial records. The Board may assign additional duties to officers as necessary.

5. COMMITTEES

5.1 Committees. The Board may establish committees comprised of directors and, if appropriate, non-directors to perform specified functions. Each committee shall have the authority delegated by the Board consistent with law and these By-Laws.

6. INDEMNIFICATION

6.1 Right to Indemnification. To the fullest extent permitted by law, the corporation shall indemnify and advance expenses to directors, officers, employees and agents who are made parties to proceedings by reason of their corporate status, provided such persons acted in good faith and in a manner reasonably believed to be in, or not opposed to, the best interests of the corporation.

6.2 Advancement of Expenses. The corporation may advance expenses prior to final disposition of a proceeding upon receipt of an undertaking by or on behalf of the indemnitee to repay advances if it is ultimately determined that the indemnitee is not entitled to indemnification.

7. RECORDS AND REPORTS

7.1 Minutes and Records. The corporation shall keep minutes of all meetings of shareholders and the Board and a record of all actions taken by the Board without a meeting. The secretary shall maintain a copy of the Articles of Incorporation and By-Laws as amended.

8.1 Method of Giving Notice. Whenever notice is required by these By-Laws or by law, such notice shall be in writing and shall be delivered personally, by mail, by courier, by electronic transmission, or by any other method permitted by law. 8.2 Notice Periods. Unless a different period is required by law or the Articles of Incorporation, notice of any meeting of shareholders shall be given not fewer than days nor more than days before the date of the meeting.

9. AMENDMENTS

9.1 Amendment by Board or Shareholders. These By-Laws may be amended, altered or repealed, in whole or in part, by the affirmative vote of a majority of the Board or by the shareholders, subject to any restrictions in the Articles of Incorporation or applicable law.

10. WAIVER

10.1 Waiver. Whenever any notice is required to be given under the provisions of these By-Laws, a waiver thereof in writing signed by the person entitled to the notice or a waiver by electronic transmission shall be deemed equivalent to the giving of such notice.

11. GOVERNING LAW

11.1 Governing Law. These By-Laws and all matters relating to the governance, construction and enforcement hereof shall be governed by and construed in accordance with the laws of the state of incorporation, without regard to conflict of laws principles.

12. ENTIRE AGREEMENT

12.1 Entire Agreement. These By-Laws constitute the entire agreement among the corporation, the shareholders and the directors regarding the subject matter hereof and supersede any prior By-Laws and agreements with respect to such matters.

13. SEVERABILITY

13.1 Severability. If any provision of these By-Laws is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the fullest extent permitted by law.

14. MISCELLANEOUS

14.1 Counterparts. These By-Laws may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
