CORPORATE CONSENT AGREEMENT

The Company hereby ratifies, adopts and confirms all acts taken by its officers, directors, or agents in furtherance of the Corporate Action prior to the Effective Date and agrees to execute, file and deliver all documents and instruments reasonably necessary to effectuate and evidence the Corporate Action.

2. REPRESENTATIONS AND WARRANTIES

2.1 Company Representations. The Company represents and warrants to the Consenting Party that: (a) it is duly organized, validly existing and in good standing under the laws of its state of incorporation; (b) it has the corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder; and (c) the execution, delivery and performance of this Agreement have been duly authorized by all necessary corporate action.

2.2 Consenting Party Representations. The Consenting Party represents and warrants to the Company that: (a) it has full power and authority to enter into this Agreement and to provide the consent herein; (b) it is the lawful holder of the shares or membership interest giving rise to the right to consent, or otherwise is authorized to provide such consent; and (c) this Agreement constitutes a valid and binding obligation of the Consenting Party enforceable in accordance with its terms.

3. COVENANTS

3.1 Further Actions. Each party shall perform and execute such further acts, instruments and assurances as may be reasonably necessary to effectuate the intent and purposes of this Agreement and to carry out the terms hereof.

3.2 No Conflicting Actions. The Company represents that, to the best of its knowledge, no action has been taken that would, by applicable law or contractual obligation, prevent the consummation of the Corporate Action or render this consent ineffective. The Consenting Party covenants that it will not revoke the consent provided herein prior to the closing or completion of the Corporate Action.

4. INDEMNIFICATION

4.1 Indemnity by Company. The Company shall indemnify and hold harmless the Consenting Party from and against any and all losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of any breach by the Company of its representations, warranties or covenants under this Agreement.

5. NOTICES

6. GOVERNING LAW; VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to principles of conflicts of law. Any action to enforce this Agreement shall be brought in the courts of the State of or the federal courts located therein, and each party consents to the exclusive jurisdiction of such courts.

7. ENTIRE AGREEMENT; SEVERABILITY

8.3 Counterparts; Electronic Signatures. This Agreement may be executed in counterparts, each of which shall be an original, and all of which together shall constitute one and the same instrument. Signatures transmitted by facsimile or electronic image shall be treated as original signatures for all purposes.

9. MISCELLANEOUS

9.1 Assignment. Neither party may assign this Agreement or any of its rights or obligations hereunder without the prior written consent of the other party, except that the Company may assign its rights and obligations to an affiliated entity or in connection with a merger, sale of substantially all assets, or similar transaction.

9.2 Survival. All representations, warranties, covenants and indemnities in this Agreement shall survive the execution and delivery of this Agreement and the consummation of the Corporate Action to the extent applicable.
