II. DESCRIPTIONS OF FORMS

Brief descriptions of the forms contained in your U.S. Legal Forms™ Personal Planning Package are found below.

Simple Partnership Agreement – With a general partnership agreement, each partner has an agreed percentage of ownership in return for an investment of a certain amount of money, assets and/or effort. Each partner is responsible for all the debts and contracts of the partnership even though another partner may have created the debt or entered into the contract. General partners share in management decisions, and share in profits and losses according to the percentage of the total investment.

Complex General Partnership Agreement - The parties desire to enter into a general partnership agreement. Simultaneously with the execution of this Agreement, each partner shall be obligated to contribute to the capital of the partnership, in cash or by good check, the sum set forth after such partners name in Exhibit A. No partner shall be required under any circumstances to contribute to the capital of the partnership any amount beyond that sum required pursuant to the Agreement.

Buy Sell Agreement Between Partners – The partners are engaged in a particular business and the purpose of this agreement is to provide for the sale by a partner during a partner's lifetime, or by a deceased partner's estate, of his interest in the partnership, and for the purchase of such interest by the partnership at a price fairly established; and to provide all or a substantial part of the funds for the purchase.

Profit – Loss Statement – This is a general Statement of Profits and Losses for a company. It lists in detail, all profits, or gains, as well as all losses the business may have suffered. This statement form may be used by any type of company, including partnerships.

Agreement for the Dissolution of a Partnership – When a partnership does not address the issue of dissolution, a separate agreement may be used to dissolve a partnership. The agreement provides for an independent audit of the business as well as assignment of any interest in the partnership to another individual or company.

III. TIPS ON COMPLETING THE FORMS

The form(s) in this packet may contain “form fields” created using Microsoft Word or Adobe Acrobat (".pdf" format). “Form fields” facilitate completion of the forms using your computer. They do not limit your ability to print the form “in blank” and complete with a typewriter or by hand.

It is also helpful to be able to see the location of the form fields. Go to the View menu, click on Toolbars, and then select Forms. This will open the Forms toolbar. Look for the button on the Forms toolbar that resembles a shaded letter "a". Click this button and the form fields will be visible.

By clicking on the appropriate form field, you will be able to enter the needed information. In some instances, the form field and the line will disappear after information is entered. In other cases, it will not. The form was created to function in this manner.

What Corporate LLC Forms Are and when they apply

Corporate LLC Forms are the standardized documents used to create, manage, and record limited liability companies and related corporate actions. Typical forms include Articles of Organization (or Certificate of Formation), Operating Agreements, Member Consent forms, Annual Report filings, and Amendments. These documents establish legal existence, set management and ownership rules, record member contributions, and memorialize decisions such as admitting new members or changing registered agents. Accurate completion and timely filing with the appropriate state filing office ensures the LLC maintains its limited liability protections and complies with state statutory requirements.

Why clear, correct Corporate LLC Forms matter

Properly completed Corporate LLC Forms define ownership, protect limited liability, and avoid administrative penalties. Clear forms reduce disputes among members, enable reliable banking and tax reporting, and support legal and financing transactions under state corporate statutes.

Why clear, correct Corporate LLC Forms matter

Who typically prepares and reviews these forms

These forms are commonly completed by company founders, corporate paralegals, registered agents, and accountants responsible for entity formation and compliance.

  • Founders and managing members: prepare Articles, sign Operating Agreements, and certify member actions for formation and banking.
  • Registered agents and formation services: submit state filings, receive official notices, and keep statutory records current.
  • Accountants and tax preparers: confirm employer identification numbers, tax classifications, and year-end reporting details.

Core components included in professional Corporate LLC Forms

A complete set of Corporate LLC Forms includes formation documents, governance provisions, ownership records, and official state filings. A professional package minimizes ambiguity and supports regulatory compliance for both internal use and third-party review.

Articles

Legal formation document filed with the state that names the LLC, designates registered agent, and states the formation effective date and statutory purpose.

Operating Agreement

Internal governance contract that details member ownership percentages, voting rights, distribution rules, capital contributions, and procedures for member changes or dissolution.

Member Consent

Signed records of member approvals for key actions such as admitting members, authorizing bank accounts, or approving major contracts and loans.

Annual Report

State-required periodic filing that updates ownership, registered agent, principal office, and pays state renewal or franchise fees where applicable.

Amendments

Formal changes to Articles or Operating Agreement used to alter name, ownership structure, management, or registered agent information.

Resolutions

Board or member resolutions documenting specific corporate actions like opening bank accounts, appointing officers, or authorizing signatories.

Step-by-step: completing and filing Corporate LLC Forms

Follow this sequence to create, approve, and file core LLC documents with minimal friction.

  • 01
Prepare Formation: Draft Articles or Certificate with exact entity name and registered agent details.
  • 02
Adopt Operating Agreement: Document governance, capital contributions, and member rights in writing and have members sign.
  • 03
File with State: Submit Articles and required filing fee to the state filing office or online portal.
  • 04
Record and Distribute: Store executed originals, provide copies to members, and register EIN with IRS as needed.

Typical routing and approval flow for corporate filings

Corporate LLC Forms move through preparation, internal approval, external filing, and official acknowledgment. Map roles and responsible parties in advance.

  • Draft: Legal or administrative team prepares the required form and supporting attachments.
  • Internal Sign-off: Designated members or managers review and sign in the order required by the operating agreement.
  • State Submission: File the document with the Secretary of State or equivalent agency and pay the statutory fee.
  • Confirmation: Receive stamped/certified copy or electronic filing receipt and distribute to stakeholders.

  • Security: TLS in transit, AES-256 at rest

Common filing deadlines and timing expectations

Filing timelines depend on the state and the form type. Some states process online same day while others take several business days; plan for processing and delivery when setting effective dates.

Formation Filing:

Processing ranges from same-day to several weeks depending on state and filing method

Annual Report:

State-specific due dates; many states require annual filing and fee payment

Amendments:

File promptly after member vote to keep public records current

Agent Changes:

Effective upon filing in most states; confirm acceptance requirements

Certified Copies:

Allow extra time for certified copy requests from the state

Common mistakes when preparing Corporate LLC Forms

  • Using an incorrect or inconsistent entity name across documents, which can lead to rejected filings or bank account verification failures.
  • Failing to list the registered agent’s physical street address, causing service-of-process notices to be returned or filings to be rejected.
  • Omitting member ownership percentages or vague contribution descriptions that complicate distributions and tax reporting.
  • Not updating state records after member or address changes, which can result in forfeiture of good standing or missed official notices.

Penalties and legal risks from incorrect or late filings

Late Fees: State assessment and reinstatement costs
Administrative Dissolution: Loss of good standing and liability exposure
Tax Consequences: Incorrect classification risks IRS penalties
Contractual Risk: Unexecuted governance can void member protections
Service Problems: Returned process due to bad agent info
Increased Legal Cost: Higher attorney fees to cure deficiencies

Typical authorized signers for Corporate LLC Forms

Managing Member

The managing member signs day-to-day governance documents and bank forms; their authority should be reflected in the Operating Agreement and meeting minutes to support third-party reliance.

The registered agent accepts official service and may sign acknowledgements; record the agent’s consent and contact details to prevent returned service and compliance lapses.

Practical tips to reduce errors and speed processing

Adopt consistent templates, verify signer identities, and match form data to tax and bank records before filing.
