CORPORATE PARK LEASE AGREEMENT

Parties

This Lease Agreement is made between Landlord and Tenant as of the Effective Date set forth below.

Landlord owns certain commercial property within a corporate park and desires to lease a portion of that property to Tenant. Capitalized terms used in this Lease shall have the meanings set forth herein.

Rent and Additional Rent

Tenant shall pay Base Rent and Additional Rent as follows. Base Rent shall be paid in advance on or before the first day of each calendar month to Landlord at Landlord's notice address.

Tenant shall pay Tenant's Pro Rata Share of common area maintenance (CAM), real estate taxes, assessments and utilities as Additional Rent. Tenant's Pro Rata Share is:

Use, Repairs and Maintenance

Tenant shall use the Premises for lawful general office, light industrial, or corporate operations consistent with park rules and zoning. Tenant shall keep the Premises in good order and repair, excluding structural repairs expressly reserved to Landlord.

Alterations and Tenant Improvements

Tenant shall not make alterations, additions, or improvements without Landlord's prior written consent, which consent shall not be unreasonably withheld for customary office build-outs. Tenant shall comply with construction rules, obtain required permits and, except as otherwise provided, shall reimburse Landlord for any costs reasonably incurred arising from Tenant's alterations.

Insurance and Indemnity

Tenant shall maintain commercial general liability insurance naming Landlord as an additional insured and property insurance for Tenant's personal property. Tenant shall indemnify and hold Landlord harmless from claims arising out of Tenant's use of the Premises except to the extent caused by Landlord's gross negligence or willful misconduct.

Environmental Compliance

Tenant represents that Tenant will not cause or permit the presence, use, release or disposal of Hazardous Materials on or under the Premises except in compliance with Environmental Laws. Tenant shall promptly remediate any contamination caused by Tenant.

Casualty and Condemnation

If the Premises are damaged by casualty, Landlord shall repair such damage within a reasonable time subject to insurance proceeds. If the Premises are materially condemned and partial or full termination is required, the Lease shall be terminated as to the affected portion and any proceeds allocated as provided below.

Default and Remedies

A default occurs if Tenant fails to pay rent within five (5) days after written notice or breaches other material obligations and fails to cure within the applicable cure period. Upon default Landlord may pursue all remedies at law or in equity, including termination of the Lease, recovery of rent and damages, and recovery of reasonable attorneys' fees and costs.

Assignment and Subletting

Tenant shall not assign this Lease or sublet the Premises without Landlord's prior written consent, which consent shall not be unreasonably withheld for creditworthy assignees or subtenants for a portion of the Premises consistent with Tenant's intended use.
