What a Correspondent Services Agreement Covers

Correspondent Services Agreement is a contractual form used by mortgage lenders and financial institutions to set terms for purchasing, servicing, or transferring loans between a correspondent lender and a primary investor or sponsor. It defines responsibilities for underwriting, repurchase obligations, delivery conditions, representations and warranties, indemnity, data delivery, and compliance with investor requirements. The agreement typically addresses loan delivery deadlines, purchase price adjustments, audit rights, servicing transfers, and default handling. Parties use it to allocate credit risk, ensure regulatory compliance, and document operational workflows for loan acquisition and post-closing processes.

Why a Clear Correspondent Services Agreement Matters

A Correspondent Services Agreement clarifies risk allocation, operational responsibilities, and compliance expectations between parties, reducing disputes and facilitating secondary market sales. Clear contractual terms support regulatory audits and make electronic execution and recordkeeping defensible under ESIGN and UETA.

Why a Clear Correspondent Services Agreement Matters

Who Typically Prepares and Signs This Agreement

Correspondent lenders, warehouse lenders, investors, and third-party servicers commonly use this agreement to document delivery and repurchase obligations.

  • Correspondent lenders documenting loan sales and warranties to investor counterparties.
  • Investors specifying acceptance criteria, audit rights, and buyback triggers contractually.
  • Mortgage servicers managing post-closing transfers, remittances, reporting obligations, and timelines.

Use the agreement to set measurable delivery standards, inspection rights, and repurchase remedies for breach.

Core Sections to Include in a Professional Agreement

Core sections of a Correspondent Services Agreement define delivery conditions, reps and warranties, indemnities, auditing, pricing adjustments, and transfer mechanics.

Delivery Conditions

Specify required file contents, data formats, cutoff times, and acceptable exceptions. Include representations that confirm loan eligibility, supporting documentation, and remedies for missing or defective files to protect investor interests.

Representations

List borrower and loan-level warranties including occupancy, income verification, and lien status. Tie each representation to evidentiary requirements and specify remedies for breach, including repurchase or indemnity obligations.

Indemnity

Clearly allocate losses and legal defense responsibilities for breaches of representations. Define caps, survival periods, and processes for notice, cure, and third-party claims handling to reduce litigation risk.

Pricing Adjustments

Describe purchase price calculations, holdbacks, repurchase pricing, float income allocation, and adjustments for underwriting defects or misrepresentations, including sample formulas for clarity.

Audit Rights

Grant rights for investor audits, specify notice periods, scope, document access, and remediation steps. Include procedures for addressing systemic defects discovered during sampling or full-file reviews.

Servicing Transfer

Outline responsibilities for servicing transfers, master servicing relationships, notification requirements, and data delivery formats. Include cutover obligations, reconciliation timelines, and escrow or custodial arrangements to ensure continuity.

Security and Compliance Controls to Reference

Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Access Controls: Role-based access, SSO and MFA
BAA Availability: HIPAA BAA available on request
Audit Trail: Complete timestamps, IP, and action log
Authentication: SMS, email, and advanced options
Data Residency: Options for cloud regions and controls

Potential Penalties and Operational Risks

Repurchase Liability: Potential repurchase and indemnity claims
Tax Reporting Penalties: Incorrect 1099s trigger IRC §6721 fines
I-9 Compliance: Fines $281–$2,789 per violation
Late Delivery Fees: Contractual liquidated damages may apply
Data Breach Exposure: HIPAA penalties and breach costs
Invalid Signatures: Contracts voided if signature elements fail

Common Preparation Mistakes to Avoid

  • Leaving delivery conditions vague causes disputes over acceptable file formats, missing documents, and timing, often resulting in delays and costly repurchase negotiations.
  • Failing to specify remediation or cure periods creates immediate default triggers and erodes bilateral trust, increasing litigation risk.
  • Not aligning representations with underwriting documentation leads to repurchase claims; tie each rep to required evidence and retention rules.
  • Overlooking state-specific notary or witness requirements can invalidate execution in some jurisdictions; confirm local rules before notarizing.
