Recitals

WHEREAS, Service Provider named above is engaged in the business of providing cosmetic, beauty and aesthetic services and maintains trained personnel and equipment necessary to perform such services; and

WHEREAS, Client desires to retain Service Provider to perform the cosmetic services described in this Agreement and Service Provider agrees to provide such services under the terms set forth below; and

WHEREAS, the parties intend that this Agreement set forth their respective rights and obligations with respect to the cosmetic package specified herein.

Late Fee: — Late payments shall accrue interest and collection costs as provided herein and permitted by law.

Non-Refundable Fees: Deposit is unless otherwise agreed in writing and is applied to the total package price.

Cancellation, Rescheduling and Refunds

Cancellation by Client requires written notice at least days prior to a scheduled session. Failure to provide required notice may result in forfeiture of deposit or full session charge.

Rescheduling: Client may reschedule with at least the notice period above; Service Provider will make reasonable efforts to accommodate. Repeated rescheduling may be treated as cancellation under this Agreement.

Refund Policy: Refunds are permitted only as expressly stated in this Agreement. All product purchases included in the package are subject to the following:

Term and Termination

Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Either party may also terminate without cause upon providing days prior written notice; termination without cause may be subject to fees as set forth above.

Confidentiality

Each party shall keep confidential all proprietary or non-public information disclosed by the other party in connection with this Agreement, including pricing, formulas, treatment protocols, trade secrets, client lists and medical disclosures, and shall not use or disclose such information except as necessary to perform obligations under this Agreement or as required by law. Confidential information does not include information that is publicly available through no breach of this Agreement.

Health Disclosures and Client Representations

Client certifies that they have disclosed all relevant medical history, allergies, current medications, pregnancy status and skin conditions that may affect the safety or efficacy of the treatments. Client acknowledges that failure to disclose accurate health information may result in adverse reactions and release Provider from liability to the extent caused by such failure.

Photo and Marketing Release

Client consents to the use of before-and-after photographs and anonymized images for Service Provider’s marketing, training and promotional purposes unless Client explicitly withholds consent by checking the box below.

Limitation of Liability and Indemnification

Except to the extent caused by gross negligence or willful misconduct of Service Provider, Client agrees that Provider’s total liability for any claim arising under or related to this Agreement shall not exceed the amount paid by Client to Provider under this Agreement. Client shall indemnify and hold harmless Provider from and against any third-party claims arising out of Client’s breach of this Agreement or misuse of services or products.

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, governmental restrictions, pandemics, supply interruptions, or labor disputes. Affected obligations will be suspended for the duration of the force majeure event and the parties will promptly attempt to reschedule affected services.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of . Any dispute arising from this Agreement shall be submitted first to informal good faith negotiations; if unresolved, the parties agree to binding arbitration or litigation in the courts located within the same state as the governing law, at Provider’s option.

Amendment and Entire Agreement

This Agreement, including any attachments and statements of work expressly incorporated herein, constitutes the entire agreement between the parties relating to the subject matter and supersedes all prior and contemporaneous agreements and understandings. No amendment or modification shall be binding unless in writing and signed by both parties.

Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
