By submitting this Cost Draw Invoice, Issuing Company certifies that: (a) all work, materials, equipment and services billed herein were performed and supplied in accordance with the contract documents for the Project; (b) amounts billed are true, correct and allocable to the Project; (c) there are no outstanding claims, liens or encumbrances against amounts billed except as disclosed in writing; and (d) payments received will be used to pay subcontractors, suppliers and laborers in the ordinary course.

Issuer further warrants that any retainage withheld will be computed in accordance with the contract and that acceptance of payment shall constitute a partial waiver of any lien rights to the extent of the payment received. Failure to notify recipient in writing of disputed items within seven (7) days of receipt of payment shall be deemed acceptance of the invoice as rendered.

Late Payment & Remedies

Past due amounts shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law. In the event of non-payment, Issuer reserves the right to suspend work and pursue all available remedies, including recovery of costs, attorney fees and collection expenses. Acceptance of a partial payment does not waive Issuer's rights as to remaining amounts due.
