COUNCIL MEMBER AGREEMENT FORM

This Council Member Agreement ("Agreement") is made and entered into as of Effective Date: by and between Organization Name: , with principal address (hereinafter "Organization"), and Council Member Name: , residing at (hereinafter "Council Member").

RECITALS

WHEREAS, the Organization is vested with authority to appoint or confirm members to its governing council or advisory body under its charter, bylaws, or applicable ordinance; and

WHEREAS, Council Member possesses the qualifications and has been selected to serve in the capacity described below and is willing to serve subject to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their mutual rights, duties, and obligations with respect to Council Member's service to ensure effective governance and compliance with applicable standards of conduct.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. APPOINTMENT AND TERM

1.1 Appointment. Organization hereby appoints Council Member to serve as a member of the council described above, and Council Member accepts such appointment, subject to the terms of this Agreement and any applicable oath, bond, charter, ordinance or policy.

1.2 Term. The term of service shall commence on and shall expire on unless earlier terminated in accordance with this Agreement.

2. DUTIES AND RESPONSIBILITIES

2.1 General Duties. Council Member shall faithfully perform the duties assigned by applicable law and by Organization's governing instruments, including attendance at regular and special meetings, participation in committee assignments, preparation and review of materials, and such other duties as may be reasonably delegated.

3. COMPENSATION AND REIMBURSEMENT

3.1 Compensation. Council Member shall receive compensation as provided below. Compensation shall be subject to applicable withholding and reporting as required by law.

4. STANDARDS OF CONDUCT; CONFLICTS OF INTEREST

4.1 Standards. Council Member shall comply with the Organization's code of conduct, ethics policies, and any statutory requirements governing conflicts, disclosures, recusals, gifts, and lobbying.

4.2 Disclosure. Council Member shall promptly disclose to Organization any financial interest, employment, representation or other relationship that may create an actual, potential or perceived conflict of interest and shall follow required procedures for recusal.

5. ATTENDANCE; MEETINGS

5.1 Attendance. Council Member is expected to attend a reasonable percentage of scheduled meetings and to notify Organization in advance of unavoidable absences. Excessive unexcused absences may be grounds for removal pursuant to Section 8.

6. CONFIDENTIALITY

6.1 Confidential Information. Council Member may have access to confidential or non-public information. Council Member shall not disclose such information except as authorized or required by law or Organization policy. This obligation continues after termination of service to the extent permitted by law.

7. RECORDS; PUBLIC DISCLOSURE

7.1 Records. Council Member shall maintain and turn over to Organization any records, files, or materials created or received in the course of official duties. Organization's records retention and public disclosure policies shall govern release of documents.

8. REMOVAL AND TERMINATION

8.1 Removal for Cause. Council Member may be removed for cause, including but not limited to willful failure to perform duties, material breach of this Agreement, violation of law, or ethical violations, in accordance with Organization procedures and applicable law.

8.2 Resignation. Council Member may resign by delivering written notice to Organization. Resignation shall be effective upon receipt or at a later date specified in the notice.

9. INDEMNIFICATION AND INSURANCE

9.1 Indemnification. To the fullest extent permitted by law, Organization shall indemnify and defend Council Member for acts or omissions arising out of performance of official duties, provided such acts are taken in good faith and within the scope of Council Member's authority.

10. NOTICES

10.1 Method. All notices under this Agreement shall be in writing and delivered personally, by certified mail, or by nationally recognized courier to the addresses set forth below or to such other address as either party may designate by notice.

11. AMENDMENTS; WAIVER; COUNTERPARTS

11.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties.

11.2 Waiver. No waiver of any breach shall constitute a waiver of any other right or of any subsequent breach.

11.3 Counterparts. This Agreement may be executed in counterparts, each of which constitutes an original and all of which constitute one instrument.

12. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Organization is established, without regard to conflict of law principles.

12.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

12.3 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. CERTIFICATIONS

Each party warrants and represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder, that the execution and delivery of this Agreement has been duly authorized, and that this Agreement constitutes a valid and binding obligation enforceable in accordance with its terms.
