What a Courier Service Agreement Covers

A Courier Service Agreement is a written contract between a client and a courier or delivery provider that defines services, delivery standards, liability, insurance, rates, and payment terms. It sets pickup and delivery instructions, acceptable package types, service levels (overnight, same-day, scheduled), performance metrics, and procedures for lost or damaged shipments. The agreement also allocates risk through insurance requirements, limits of liability, and indemnities, and typically includes confidentiality, governing law, and termination clauses so both parties understand responsibilities and remedies.

Why a Formal Agreement Matters for Couriers and Clients

A clear Courier Service Agreement reduces disputes, defines service expectations, and protects both parties through specified liability limits and insurance requirements.

Why a Formal Agreement Matters for Couriers and Clients

Who Commonly Uses Courier Service Agreements

Use the agreement to set measurable service levels, designate responsible parties, and document insurance and indemnity obligations before service begins.

  • Ecommerce and retail operations arranging regular parcel pick-ups and returns with performance guarantees.
  • Healthcare providers sending medical records, lab specimens, or supplies under HIPAA-compliant handling.
  • Legal and financial firms transporting confidential documents that require chain-of-custody controls.

Core Elements to Include in a Professional Courier Service Agreement

Common Mistakes to Avoid When Drafting the Agreement

  • Using vague service descriptions that leave delivery timeframes and performance expectations undefined, leading to disputes.
  • Failing to require proof of insurance or an updated certificate of insurance before starting service, increasing financial exposure.
  • Not specifying a Claims Procedure or time limit for reporting loss or damage, which can bar recovery under the contract.
  • Allowing unauthorized signers to execute the agreement without verifying corporate authority or delegated signing limits.

Risks and Contractual Consequences of Incomplete or Incorrect Agreements

Claim Denial: Late claims risk denial
Liability Exposure: Undefined limits increase risk
Billing Disputes: Vague fees cause chargebacks
Contract Voidance: Unauthorized signature risks invalidity
Insurance Gaps: Insufficient coverage limits losses
Regulatory Noncompliance: HIPAA breaches incur penalties
