Utilities Responsibility: Tenant is responsible for reasonable personal use of electricity and other utilities for the assigned space. Landlord is responsible for building-wide utilities unless otherwise stated in writing.

Permitted Use: Tenant may use the Premises for general office, coworking, administrative and professional services consistent with building rules. Tenant shall not permit illegal activity or activities generating excessive noise or that unreasonably interfere with other tenants' use.

Maintenance; Repairs; Alterations

Landlord Obligations: Landlord shall maintain building structure, common areas, and building systems in compliance with applicable law. Landlord shall perform repairs in a commercially reasonable time following notice.

Tenant Obligations: Tenant shall keep the assigned space in a clean condition and promptly notify Landlord of damage. Tenant shall not make structural or system alterations without prior written consent. Tenant shall be liable for damage caused by Tenant or its invitees.

Insurance; Indemnity; Liability

Tenant shall maintain commercial general liability insurance in amounts not less than per occurrence and property insurance for Tenant's personal property. Tenant shall name Landlord as an additional insured where requested.

Indemnity: Tenant shall indemnify, defend and hold Landlord harmless from and against claims arising from Tenant's use of the Premises, except to the extent caused by Landlord's gross negligence or willful misconduct.

Assignment and Subletting

Tenant shall not assign its interest or sublet the Premises in whole or in part without Landlord's prior written consent, which shall not be unreasonably withheld for transfers to affiliated entities meeting credit and use standards. Any permitted assignment or sublease remains subject to the terms of this Lease.

Default; Remedies; Cure Periods

Events of Default include failure to pay rent within five (5) days of the due date, failure to maintain required insurance, or material breach of Lease obligations. Landlord may provide written notice and a cure period of ten (10) days for non-monetary breaches or five (5) days for monetary breaches, after which Landlord may pursue remedies permitted by law, including termination and recovery of damages.

Default Remedies; Holdover

Governing Law: This Lease shall be governed by and construed in accordance with the laws of the state in which the Premises are located.

Entire Agreement: This Lease, together with any exhibits or written amendments, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements relating to the Premises.

Severability: If any provision of this Lease is determined invalid or unenforceable, the remaining provisions shall remain in full force and effect.
