COWORKING SPACE AGREEMENT

This Coworking Space Agreement (the Agreement) is entered into as of by and between:

RECITALS

WHEREAS, Provider operates a coworking facility and provides workspace, amenities and related services to business and individual tenants under commercial terms; and

WHEREAS, Client wishes to obtain access to and use of certain workspace and services on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to access, payment, confidentiality, and termination.

SCOPE OF SERVICES

Provider will provide the Client the coworking space, access rights, and ancillary services described below. Specific inclusions, exclusions, and operational rules are as follows:

FACILITIES, ACCESS, AND RULES

Provider grants Client a non-exclusive right to use the designated workspace, common areas, and amenities during Provider's published hours, subject to Provider's reasonable rules and policies. Client and Client's representatives shall comply with all posted rules, safety instructions, and any reasonable requests by Provider's staff.

PAYMENT TERMS

Client agrees to pay Provider in accordance with the schedule, amounts, and procedures set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

TERM AND TERMINATION

The term of this Agreement commences on and continues until unless earlier terminated in accordance with this Agreement.

Either party may terminate for convenience upon written notice to the other party at least days prior to the intended termination date. Provider may immediately suspend access or terminate the Agreement for nonpayment, material breach, or conduct that threatens safety or property.

Upon termination Client shall vacate the premises, remove all personal property, and return any keys, access cards, or equipment. Provider may dispose of property left on the premises in accordance with applicable law after providing reasonable notice.

CONFIDENTIALITY

For purposes of this Agreement, Confidential Information means non-public business or technical information disclosed by either party that is designated as confidential or that reasonably should be understood to be confidential. Each party shall (a) use Confidential Information solely for performance under this Agreement; (b) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information; and (c) not disclose Confidential Information to third parties except to employees, contractors, or professional advisors who have a need to know and are bound by confidentiality obligations at least as restrictive as those herein. Confidential Information shall not include information that is or becomes generally available to the public through no breach of this Agreement, independently developed without use of the other party's Confidential Information, or rightfully received from a third party without restriction.

INSURANCE, INDEMNITY AND LIABILITY

Client shall maintain general liability insurance in customary amounts and any other coverage reasonably required by Provider. Client shall indemnify, defend, and hold harmless Provider from and against claims, liabilities, losses, and expenses arising out of Client's use of the premises, breach of this Agreement, or acts or omissions of Client or its invitees, except to the extent caused by Provider's gross negligence or willful misconduct. Provider's liability for any claim arising under this Agreement shall be limited to direct, proven damages and shall exclude consequential, incidental, punitive or special damages.

COMPLIANCE WITH LAW

Each party shall comply with applicable laws, regulations, and codes in performing its obligations. Client shall not use the premises for any unlawful purpose or in a manner that violates zoning, licensing, safety, or health requirements.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law principles. The parties shall attempt to resolve disputes in good faith by negotiation prior to seeking formal dispute resolution.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any schedules or attachments executed by the parties, constitutes the entire agreement between the parties relating to its subject matter and supersedes all prior proposals, negotiations, writings and understandings. No amendment shall be effective unless in writing and signed by authorized representatives of both parties.

NOTICES

Any notice required or permitted under this Agreement shall be in writing and delivered to the address set forth above or such other address as a party designates by written notice. Notices shall be deemed given when received by hand, courier, or confirmed electronic transmission, or three (3) days after deposit in the United States mail, postage prepaid.

MISCELLANEOUS

If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect. The parties are independent contractors and nothing in this Agreement creates a partnership, joint venture, or employment relationship. Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to a successor in interest in connection with a sale of substantially all of its business or assets.
