What a CPA Agreement Template Covers

A CPA Agreement Template is a standardized engagement letter that documents the relationship between a certified public accountant or accounting firm and a client. It defines services to be provided (tax prep, compilation, audit, advisory), fees and payment terms, deliverables, client responsibilities, confidentiality, limitation of liability, document retention, and governing law. The template creates a consistent baseline for engagements, reduces scope disputes, and can be adapted to specific industries or regulatory requirements before execution.

Why a Written CPA Agreement Matters

A clear engagement letter reduces misunderstandings about scope, fees, and timelines, supports professional standards compliance, and documents mutual responsibilities. Written terms also help resolve billing disputes and demonstrate agreed limits of liability and authority when regulatory or tax questions arise.

Why a Written CPA Agreement Matters

Typical Parties Who Use This Template

CPA engagement letters are used across client types and firm sizes; tailor language to the services and regulation involved.

  • Small businesses and startups seeking routine tax and bookkeeping services.
  • High-net-worth individuals engaging tax planning or advisory services.
  • Nonprofits, partnerships, and LLCs hiring accounting or audit support.

Use plain-language scope clauses and defined deliverables to keep expectations aligned between the CPA firm and each client representative.

Who Is Authorized to Sign

Firm Partner, CPA

A named partner or other officer of the accounting firm should sign for the firm; their authority should be documented in firm governance records to avoid later disputes.

Client Representative, CFO

An authorized signatory for the client (owner, CFO, treasurer, or other officer) must sign. Confirmation of signing authority prevents enforceability issues and protects both parties.

Core Elements to Include in the CPA Agreement Template

A professional CPA Agreement Template should include the clauses below to set clear expectations, manage risk, and meet regulatory obligations.

Scope

Describe specific services (tax return types, financial statement level, advisory limits) and exclude any services not included to prevent scope creep and disputes.

Fees

State billing method (hourly, fixed, retainer), invoicing schedule, late fees, and who bears out-of-pocket costs such as filing fees or courier charges.

Deliverables

Specify deliverable format, expected delivery dates, acceptance criteria, and the formats in which final work products will be handed to the client.

Confidentiality

Define confidentiality obligations, permitted disclosures (court order, regulators), and handling of protected health information if applicable.

Liability

Include limitation of liability, indemnification terms, and any caps on damages consistent with professional standards and state law.

Termination

Set notice periods, effective termination date, final accounting of fees, and responsibilities for return of client records upon termination.

Penalties and Risks of an Incorrect or Missing Agreement

Unenforceable Terms: No signature
Backup Withholding: Incorrect TIN
Regulatory Fines: HIPAA violations possible
Malpractice Exposure: Undefined duties
Billing Disputes: Ambiguous fee language
Tax Penalties: Late or incorrect filings

Common Mistakes to Avoid When Preparing the Agreement

  • Leaving the scope of services vague or open-ended, which leads to client disputes and scope creep.
  • Failing to verify the client’s legal name or tax identification number before signing and issuing invoices.
  • Omitting clear payment terms or a fee schedule, which results in late payments and collection issues.
  • Not addressing data handling or PHI when tax or accounting work involves protected health information.

Practical Tips for Accurate and Efficient Completion

Follow these practices to reduce errors and speed up execution while maintaining compliance.

Draft a modular scope and fee schedule
Use modular clauses for common services so you can assemble a tailored engagement quickly while keeping standardized language that reduces legal review time.
Confirm signer authority before sending
Request evidence of signing authority (board resolution, power of attorney, or officer certificate) when dealing with corporations or trusts to avoid later challenges.
Use clear change and amendment procedures
Include an amendment clause specifying that only written, signed amendments are effective to prevent informal scope changes.
Maintain secure, indexed storage
Store executed agreements with audit trails and an index for quick retrieval during tax audits or client inquiries.
