Expenses and Disbursements

Client agrees to reimburse reasonable out-of-pocket expenses and third-party costs incurred by the Firm in connection with the performance of services, including but not limited to filing fees, courier charges, and travel expenses.

Client Responsibilities

The Client shall provide accurate, complete, and timely information and documentation necessary for the Firm to perform the agreed services. The Firm may rely upon the completeness and accuracy of material provided by the Client.

Confidentiality; Records Retention

The Firm will maintain the confidentiality of client information in accordance with professional standards, except as authorized by Client or required by law. Client records will be returned upon request; Firm may retain copies for its files. The Firm is not responsible for loss or damage to original Client records left in its custody.

Limitation of Liability and Indemnity

To the maximum extent permitted by law, the Firm's liability for any claim arising from this Agreement is limited to direct actual damages not to exceed the total fees paid by Client for the services giving rise to the claim. In no event shall the Firm be liable for consequential, incidental, or punitive damages. Client agrees to indemnify and hold the Firm harmless from third-party claims arising from Client-provided information or Client's breach of this Agreement.

Termination

Either party may terminate this Agreement upon written notice. Termination does not relieve Client of obligation to pay fees for work performed and expenses incurred through the date of termination. Upon termination the Firm will deliver work product to Client upon receipt of any outstanding fees and expenses.

Dispute Resolution and Governing Law

The parties agree to attempt in good faith to resolve disputes by negotiation. If unresolved, disputes shall be resolved by binding arbitration administered in accordance with the parties' agreement to arbitrate. This Agreement shall be governed by the substantive law of the state selected by the parties at the time of execution.

Miscellaneous

No waiver of any provision of this Agreement shall be effective unless in writing and signed by the waiving party. If any provision is held unenforceable, the remainder shall continue in full force. Amendments must be in writing and signed by both parties. Electronic signatures and communications are acceptable and have the same force and effect as handwritten signatures.
