CREATIVE ART TEMPLATE

This Creative Art Agreement (the Agreement) is entered into as of between Client Name: with address: and Artist Name: .

WHEREAS

WHEREAS, Client desires to commission the creation of original creative artwork described herein, and Artist has the expertise and agrees to create such artwork pursuant to the terms of this Agreement.

WHEREAS, the parties intend to set forth the scope, schedule, compensation, ownership, confidentiality and other material terms governing the creation and delivery of the artwork.

Artist shall perform creative services as described below. Deliverables shall conform to the specifications, schedule, and acceptance criteria set forth in this Section.

3. Payment Terms

Client shall pay Artist the total fee and reimburse reasonable pre-approved expenses as set forth below. All fees are exclusive of applicable taxes unless otherwise stated.

Reimbursable out-of-pocket expenses require Client's prior written approval. Specify expense policy or limits below.

4. Term and Termination

This Agreement shall commence on and continue until unless earlier terminated in accordance with this Section.

Either party may terminate for material breach if the breaching party fails to cure within thirty (30) days after written notice. In the event of termination, Client shall pay Artist for work performed and non-cancelable obligations incurred through the effective date of termination.

5. Confidentiality

Each party shall treat as confidential all non-public information disclosed by the other party that is designated confidential or that reasonably should be understood to be confidential. Confidential information shall not include information that is (a) publicly available other than by breach of this Agreement, (b) rightfully received from a third party without restriction, or (c) independently developed without use of the other party's confidential information.

The receiving party may disclose confidential information as required by law, provided it gives the disclosing party prompt written notice and reasonably cooperates in any effort to limit the disclosure.

6. Ownership, Copyright and License

Unless otherwise agreed in writing, Artist retains copyright in preliminary concepts and works-in-progress. Upon Client's full payment of all sums due, Artist hereby assigns to Client all right, title and interest in the final delivered artwork as specified in the Deliverables, subject to the limited license reservations set forth below.

Artist retains a non-exclusive, royalty-free right to reproduce the work in Artist's portfolio, promotional materials and for the purpose of self-promotion, provided such use does not disclose Client's confidential information or unapproved variations.

8. Warranties; Indemnification; Limitation of Liability

Artist warrants that the delivered artwork will be original and will not infringe the intellectual property rights of third parties. Client warrants that materials provided to Artist do not infringe third-party rights.

Each party agrees to indemnify and hold the other harmless from claims arising from its breach of this Agreement, gross negligence, or willful misconduct. Except for indemnification obligations or willful misconduct, neither party shall be liable for incidental or consequential damages and total liability shall not exceed fees paid under this Agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to principles of conflicts of law.

10. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the contact information provided below.

11. Entire Agreement

This Agreement, including all schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. Any amendment must be in writing and signed by both parties.

12. Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest in connection with a merger or sale of substantially all assets.
