RECITALS

WHEREAS, Client desires to engage Creator to provide original creative drawings and related services as described herein; and

WHEREAS, Creator represents that Creator has the skill, expertise and capacity to perform the work required and warrants that the work will be original and will not infringe third-party rights; and

WHEREAS, the parties wish to set forth their respective rights and obligations regarding the creation, delivery and ownership of the drawings.

Invoices are due within days of invoice date. Late payments shall incur interest at per month or a flat late fee of , whichever is greater.

TERM AND TERMINATION

This Agreement shall commence on and shall continue in effect until , unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon days' prior written notice. Termination for material breach by either party may be effective immediately if the breaching party fails to cure within the cure period specified above.

CONFIDENTIALITY

Each party agrees to keep confidential all non-public information disclosed by the other party ("Confidential Information") and to use such information solely for the performance of this Agreement. Confidential Information does not include information that is or becomes publicly known through no breach of this Agreement, is rightfully received from a third party without duty of confidentiality, or is independently developed.

The receiving party shall protect Confidential Information using at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Upon termination or written request, the receiving party will return or destroy Confidential Information and certify such destruction if requested.

OWNERSHIP, COPYRIGHT AND LICENSE

Creator represents and warrants that all drawings delivered will be original works created by Creator and will not infringe third-party rights. Creator retains copyright in all preliminary sketches and underlying studio materials unless and until rights are transferred as set forth below.

Upon receipt of full and final payment in accordance with this Agreement, Creator shall assign to Client all right, title and interest in the final delivered drawings, including all copyrights, unless the parties agree in writing to a limited license. Creator reserves the right to use non-confidential elements for portfolio and promotional purposes unless Client has expressly required in writing that such use be prohibited.

WARRANTIES, INDEMNITY & LIMITATION OF LIABILITY

Each party warrants that it has authority to enter into this Agreement. Creator warrants that the deliverables will materially conform to the specifications set forth in the Scope of Work. EXCEPT AS EXPRESSLY PROVIDED, ALL OTHER WARRANTIES ARE DISCLAIMED.

Client shall indemnify and hold harmless Creator from claims arising from Client's use of the deliverables, modification of the deliverables by others, or Client-supplied materials. Creator's total liability under this Agreement shall not exceed the total fees paid by Client to Creator under this Agreement.

NOTICES

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written.
