This General Business Agreement ("Agreement") is made as of between Client Name: located at and Contractor Name: located at .

RECITALS

WHEREAS, Client desires to engage Contractor to provide creative, editorial and production services in connection with the project titled "" on the terms set forth herein; and

WHEREAS, Contractor represents that it has the professional qualifications, experience, and ability to perform the services described in this Agreement and agrees to perform such services for Client as an independent contractor; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

SCOPE OF WORK

Contractor shall provide creative, editorial and production services for the Project consistent with the schedule and deliverables below. Contractor's obligations include concept development, story research, scriptwriting, editing, and final delivery of master files in formats agreed by the parties.

PAYMENT TERMS

Client agrees to pay Contractor as compensation for the services described above according to the following terms.

Any undisputed amount not paid within days after the due date shall accrue interest at per month (or the maximum permitted by applicable law, if less). In addition, Contractor may suspend performance until past due amounts are paid, provided Contractor gives Client at least seven days' written notice.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other. Either party may terminate immediately for material breach that is not cured within 14 days after written notice of such breach. Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive or become aware of Confidential Information of the other party. "Confidential Information" means non-public business, technical, creative and financial information disclosed in any form. The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to any third party except as necessary to perform this Agreement and only under confidentiality obligations no less protective than those herein; and (c) use Confidential Information solely to perform its obligations under this Agreement. Confidential Information shall not include information that is publicly known through no fault of the receiving party or independently developed without use of the disclosing party's Confidential Information.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located within that state for disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement, including any exhibits or attachments expressly incorporated herein, constitutes the entire agreement of the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Independent Contractor Status: Contractor is an independent contractor and not an employee, agent, partner, or joint venturer of Client. Contractor shall be solely responsible for all taxes, withholdings and other statutory obligations.

Assignment: Neither party may assign this Agreement without the prior written consent of the other, except to a successor in interest of substantially all of the assigning party's business assets.
