Creative Services Design Retainer

Parties

THIS RETAINER AGREEMENT (the Agreement) is entered into by and between Client Name: and Designer Name: as of the Effective Date: .

WHEREAS

WHEREAS, Client desires to retain Designer to provide creative design services, including but not limited to branding, visual design, user interface mockups, and related deliverables as set forth below; and

WHEREAS, Designer has represented that Designer possesses the skills, experience and personnel necessary to perform such services and is willing to perform such services on the terms and conditions contained in this Agreement.

Scope of Work

Designer will perform the services described below. All services shall be performed in a professional manner consistent with industry standards. Changes to the Scope of Work shall be governed by the Change Order process described herein.

Payment Terms

Client shall pay Designer the fees and reimburse expenses as set forth below. All fees are exclusive of taxes. Designer will submit invoices in accordance with the schedule below.

Late payments shall accrue interest at a rate of on unpaid balances, or the maximum rate permitted by law, whichever is lower. Client is responsible for all collection costs and reasonable attorneys' fees incurred by Designer in enforcing payment.

Term and Termination

This Agreement shall commence on Start Date: and continue until End Date: , unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Termination for cause may be effected immediately upon written notice if the other party materially breaches this Agreement and fails to cure within fifteen (15) days after receipt of written notice specifying the breach.

Upon termination, Designer shall deliver any completed work and Client shall pay Designer for all services performed and expenses incurred through the effective date of termination, including any non-cancellable commitments.

Confidentiality

Each party (the Receiving Party) shall hold in strict confidence all non-public, confidential or proprietary information of the other party (the Disclosing Party) disclosed in connection with this Agreement ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public through no fault of the Receiving Party; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the Disclosing Party's Confidential Information; or (d) is required to be disclosed by law, provided the Receiving Party gives prompt written notice to the Disclosing Party and cooperates to seek protective measures.

The Receiving Party shall use Confidential Information solely for the performance of this Agreement and shall not disclose it to any third party except to employees, contractors or advisors who need to know and who are bound by confidentiality obligations at least as protective as those herein. Upon termination or request, the Receiving Party shall return or destroy the Disclosing Party's Confidential Information and certify such return or destruction in writing.

Intellectual Property and Deliverables

Unless otherwise agreed in writing, Designer grants Client a non-exclusive, perpetual license to use the final deliverables for the purposes set forth in this Agreement upon full payment of all amounts due. Designer retains the right to use work created for marketing and portfolio purposes, provided such use does not disclose Client Confidential Information.

If the parties agree to an assignment of copyright, such assignment shall be effective only upon receipt of full payment and shall be limited to the deliverables expressly identified in writing.

Revisions and Approval

The Scope of Work includes rounds of client-requested revisions. Additional revisions beyond this allowance will be billed at . Client shall provide consolidated feedback within days of receipt of deliverables; delayed approvals may affect schedule and incur additional fees.

Expenses and Subcontracting

Client shall reimburse Designer for reasonable, pre-approved out-of-pocket expenses incurred in connection with performance of the services (including third-party licenses, stock imagery, printing). Any subcontracting of work shall be performed by qualified third parties and Designer shall remain responsible for the performance of subcontractors.

Warranties; Limitation of Liability; Indemnification

Designer warrants that services will be performed in a professional manner consistent with industry standards. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES AND DELIVERABLES ARE PROVIDED "AS IS" WITHOUT OTHER WARRANTIES, EXPRESS OR IMPLIED.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF DESIGNER FOR ANY CLAIM ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY CLIENT TO DESIGNER UNDER THIS AGREEMENT.

Client shall indemnify, defend and hold Designer harmless from claims, liabilities, losses and expenses arising from Client-provided materials, Client's use of deliverables beyond the scope of this Agreement, or Client's breach of this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located within that state.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Designer may assign to a successor in interest in connection with a sale of substantially all of Designer's assets.
