CREATIVE WRITING FICTION COMMISSION AGREEMENT

This Creative Writing Fiction Commission Agreement (the Agreement) is made effective as of by and between Client Name: and Writer Name: . The parties agree as follows.

WHEREAS

WHEREAS, Client desires to commission the creation of an original fiction work described in this Agreement; and

WHEREAS, Writer represents that Writer is a professional writer capable of creating original literary content and is willing to create such work under the terms and conditions set forth herein; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to creation, delivery, acceptance, and ownership of the commissioned fiction work.

PAYMENT TERMS

Client shall pay Writer the compensation described below in consideration for the services and deliverables specified in the Scope of Work. All payments are due in U.S. dollars unless otherwise agreed in writing.

Any amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law, plus a late fee of per month on the outstanding balance.

TERM AND TERMINATION

Term: This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within days after receiving written notice of the breach. In the event of termination, Writer shall be compensated pro rata for work satisfactorily performed through the effective date of termination.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years thereafter, each party shall keep confidential and not disclose to any third party any Confidential Information of the other party, except as required by law. Confidential Information includes unpublished plot outlines, character biographies, drafts, and any non-public business information disclosed in writing and marked as confidential.

Exceptions: Information shall not be considered confidential if it (a) is or becomes generally available to the public through no breach of this Agreement, (b) is rightfully received from a third party without restriction, or (c) is independently developed by the receiving party.

RIGHTS, OWNERSHIP AND LICENSE

Ownership of Copyright: The parties agree to the following selection regarding ownership and rights in the final delivered Work. Select the applicable option(s) by checking the box and, if applicable, completing the related fields.

Moral Rights: To the extent permitted by law, Writer hereby waives any moral rights in the Work and agrees not to assert any claim based on such rights that would impair Client's use of the Work consistent with the rights granted under this Agreement.

Writer shall indemnify and hold Client harmless from any claims arising from breach of these representations.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. Any dispute arising out of or in connection with this Agreement shall be resolved by the courts located in that state unless the parties agree otherwise in writing.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, or representations, whether oral or written. Any modification or waiver of any provision of this Agreement shall be effective only if in writing and signed by both parties.
