GENERAL BUSINESS AGREEMENT — CREATIVE WRITING (MURDER NOVEL)

This General Business Agreement (the Agreement) is made and entered into as of (Effective Date), by and between:

WHEREAS

WHEREAS, Client engages Author to write, develop and deliver an original creative work in the form of a murder novel (the Work) in accordance with the scope and schedule set forth in this Agreement; and

WHEREAS, Author represents that Author is the sole creator of the Work and has the full right, power and authority to enter into this Agreement and to grant the rights herein; and

WHEREAS, the parties desire to define their respective rights, obligations and compensation related to creation, delivery and exploitation of the Work.

SCOPE OF WORK

PAYMENT TERMS

Compensation: Client shall pay Author the total fee of $ for the full performance of the services described in Scope of Work.

Author shall submit invoices upon achievement of each payment milestone. Client shall pay each undisputed invoice within days of receipt.

Any undisputed amount not paid when due shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law. Client shall also be responsible for reasonable collection costs incurred by Author.

OWNERSHIP AND RIGHTS GRANTED

Upon full payment of all fees due under this Agreement, Author hereby assigns to Client all right, title and interest in and to the Work, including copyright, in all media now known or hereafter devised, subject to the exceptions and licenses set forth below.

TERM AND TERMINATION

Term: This Agreement commences on the Effective Date and continues until final delivery and acceptance of the Work, unless earlier terminated in accordance with this section. Start Date: End Date (if applicable):

Either party may terminate this Agreement without cause upon written notice to the other party delivered at least days prior to the intended termination date. In the event of termination for convenience, Client will pay Author for all work properly performed and accepted up to the effective date of termination.

Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within 15 days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall treat as confidential and protect from unauthorized disclosure all non-public information and materials provided by the other party in connection with this Agreement, including unpublished manuscript content, outlines, character sketches and business terms. Confidential information shall not include information that is or becomes publicly available other than through a breach of this Agreement or that was rightfully known prior to disclosure.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except that trade secrets shall be protected for so long as they remain trade secrets under applicable law.

REPRESENTATIONS AND WARRANTIES

Author represents and warrants that: (a) the Work will be original to Author and will not infringe the rights of any third party; (b) the Work will not contain unlawful libelous or obscene material; and (c) Author has full power and authority to grant the rights and licenses contained in this Agreement. Client represents that it has authority to enter this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles.

LIMITATION OF LIABILITY

Except for claims arising from willful misconduct or gross negligence, neither party shall be liable to the other for any indirect, incidental, special or consequential damages, including lost profits, even if advised of the possibility of such damages. Author's aggregate liability for any claim arising out of this Agreement shall not exceed the total fees actually paid by Client to Author under this Agreement.

ENTIRE AGREEMENT

This Agreement, including all exhibits and attachments referenced herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor in connection with a sale of substantially all of its assets.

Notices: All notices under this Agreement shall be in writing and shall be deemed given when delivered personally or sent by certified mail, return receipt requested, to the addresses provided by the parties.
