The undersigned applicant certifies that all information provided in this application and in any financial statements or other information provided to the creditor is true, complete and correct. Applicant authorizes the creditor to investigate the references and statements contained herein and to obtain credit reports and payment history information from trade and banking references, credit reporting agencies, and other sources as required to evaluate creditworthiness. Applicant further authorizes any bank, trade creditor, or other entity to release credit and banking information to the creditor.

Personal Guarantee: If required by the creditor, the undersigned owners or principals agree to execute a separate personal guaranty. To the extent a personal guaranty is executed, the guarantor(s) consent to the creditor’s obtaining consumer credit reports and to the filing of UCC financing statements and other security documentation to perfect any security interest granted to the creditor.

Security Interest: Applicant grants to the creditor a continuing security interest in all present and after-acquired inventory, accounts receivable, equipment and proceeds of the business until the account is paid in full, unless a separate written agreement is executed. Applicant agrees to execute financing statements and other documents requested by the creditor to perfect such security interests.

Default and Remedies: In the event of default, including nonpayment, insolvency, bankruptcy, or breach of any representation, the creditor may terminate credit, declare all amounts due and pursue all remedies available at law or in equity. Applicant shall be responsible for all collection costs, including reasonable attorneys’ fees and court costs, whether or not suit is filed.

Governing Law: This application and any resulting credit agreement shall be governed by the substantive laws of the state specified by the creditor in the credit approval (or if no state specified, the state where the creditor’s principal place of business is located). Applicant consents to the jurisdiction and venue of the appropriate courts in such state for disputes arising out of this application or any credit agreement.

Accuracy and Updates: Applicant agrees to notify the creditor promptly of any material changes to the information provided. The creditor may rely on the information until receipt of written notice of change.
