Recitals

WHEREAS, Assignor is the holder of certain rights to payment, accounts receivable, claims, causes of action and other credit rights (collectively, the "Assigned Credits"); and

WHEREAS, Assignee desires to acquire and Assignor desires to assign to Assignee, on the terms and conditions set forth in this Agreement, all of Assignor's right, title and interest in and to the Assigned Credits described in Schedule A attached hereto and incorporated herein.

Assignment

For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Assignor hereby irrevocably assigns, transfers and conveys to Assignee all right, title and interest in and to the Assigned Credits described in Schedule A, including all rights to receive payment and to enforce, collect or compromise such credits, subject to the terms of this Agreement.

Assignor represents and warrants to Assignee that, as of the Effective Date: (a) Assignor is the sole legal and beneficial owner of the Assigned Credits, free and clear of any lien, encumbrance, security interest or adverse claim except as disclosed in writing to Assignee; (b) the Assigned Credits constitute valid and enforceable obligations of the obligors named therein; (c) to Assignor's knowledge, there are no defenses, offsets or counterclaims known to Assignor that would, in material respect, reduce collectability; and (d) Assignor has full power and authority to assign the Assigned Credits.

Covenants; Notices to Debtors

Assignor shall cooperate with Assignee and, at Assignee's expense, execute and deliver all documents and instruments reasonably requested by Assignee to effectuate transfer of the Assigned Credits. Assignor shall promptly deliver to Assignee any books, records, correspondence and other documents relating to the Assigned Credits.

Notice to Obligors/Debtors: Assignee shall have the right to provide notice to the debtors and obligors of the assignment. Assignor agrees to execute any notice or acknowledgement reasonably requested by Assignee. Date notice to debtors provided: .

Indemnification; Remedies on Default

Assignor shall indemnify, defend and hold harmless Assignee from and against any and all losses, liabilities, claims, damages and expenses (including reasonable attorneys' fees) arising out of any breach of Assignor's representations, warranties or covenants in this Agreement. In the event of a material breach, Assignee shall have all remedies available at law or equity, including recovery of damages and specific performance.

Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior discussions and agreements.
