8. Authorization to Obtain and Use Data

By signing below, Client authorizes the firm and its agents to obtain, review, and rely upon payroll, tax, banking, and health plan records necessary to prepare, file, or support Employee Retention Credit claims, amended returns, and refunds. This authorization includes contacting payroll processors, accountants, banks, insurers, and other third parties on Client's behalf and receiving information necessary to document the ERC claim.

Client further authorizes the firm to retain copies of all such records in connection with the engagement, to prepare and submit claims or amended tax filings, and to communicate with tax authorities on Client's behalf with respect to the ERC claim(s).

9. Representations, Warranties, and Indemnification

Client represents and warrants that the information provided in this form and its supporting documentation is true, accurate, and complete to the best of Client's knowledge. Client understands that the firm will rely on the information provided to determine ERC eligibility and compute claim amounts. Client agrees to promptly notify the firm of any changes to the facts, payroll, or ownership that could affect eligibility or the amount of any credit.

Client shall indemnify and hold harmless the firm, its partners, employees, and agents from and against any liabilities, losses, costs, penalties, or expenses (including reasonable attorneys' fees) arising from Client's inaccurate representations, omitted records, or failure to comply with applicable recordkeeping requirements, except to the extent caused by the firm's gross negligence or willful misconduct.
