CREW SERVICE CONTRACT

This Crew Service Contract (the Agreement) is entered into as of by and between:

WHEREAS

WHEREAS, Client requires personnel to perform crewing, logistical support, and related services in connection with Client operations and projects; and

WHEREAS, Provider represents that it possesses the personnel, qualifications, equipment, and insurance necessary to furnish such crew and services in a competent and professional manner; and

WHEREAS, the parties desire to set forth the terms and conditions under which Provider will supply crew services to Client.

SCOPE OF WORK

Provider shall furnish the crew, supervision, equipment, and ancillary services described below. Provider will perform all services in accordance with industry standards and applicable laws, and will ensure that crew members hold all certificates, endorsements, or licenses required for the performance of their duties.

PAYMENT TERMS

Compensation for services rendered under this Agreement shall be as set forth below. Client shall pay Provider for labor, travel, standby, and any pre-approved reimbursable expenses as provided in this section.

Late payments shall bear interest at the lesser of (a) per month or (b) the maximum rate permitted by applicable law, calculated from the date payment was due until paid in full. Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Provider to collect overdue amounts.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for cause upon written notice if the other party materially breaches a material obligation and fails to cure within the notice period specified above. Client may terminate for convenience upon the provision of the notice set forth above, in which event Provider shall be entitled to payment for services performed and documented costs incurred up to the effective date of termination, as well as reasonable demobilization costs incurred in accordance with Provider's customary rates.

CONFIDENTIALITY

Each party agrees that it will not, during the term of this Agreement and for a period of after termination, disclose to third parties or use for any purpose other than the performance of this Agreement any non-public, proprietary, or confidential information of the other party, except as required by law or as necessary to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available other than through a breach of this Agreement.

INSURANCE AND SAFETY

Provider shall maintain, at its expense, insurance coverage customary for crewing operations and sufficient to cover workers' compensation, employer's liability, general liability, and any vessel or equipment liability where applicable. Provider shall comply with Client's reasonable safety rules while on Client premises or vessels and shall ensure that crew members follow safe work practices.

INDEMNIFICATION

Each party shall indemnify, defend, and hold harmless the other party from and against claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of the indemnifying party's negligence, willful misconduct, or breach of this Agreement, except to the extent caused by the negligence or willful misconduct of the indemnitee.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles. Venue for any dispute arising out of this Agreement shall be in the courts of that state.

ENTIRE AGREEMENT

This Agreement, including any attachments, exhibits, or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Relationship of the parties: Provider is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, joint venture, or partnership, except as expressly provided in writing.

Severability: If any provision of this Agreement is held unenforceable, the remainder shall remain in full force and effect.
