CREW SERVICES AGREEMENT

This Crew Services Agreement ("Agreement") is made as of Effective Date: by and between Hiring Party Name: with principal place of business at and Service Provider Name: with principal place of business at (each a "Party" and together the "Parties").

RECITALS

WHEREAS, Hiring Party is engaged in production operations and requires qualified crew members and related services to support those operations; and

WHEREAS, Service Provider represents that it has the personnel, expertise and licenses necessary to provide crew services and desires to provide such services to Hiring Party on the terms set forth herein; and

WHEREAS, the Parties wish to set forth their respective rights and obligations with respect to the engagement of crew services.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the Parties agree as follows:

1. SCOPE OF SERVICES

1.1 Services. Service Provider shall provide crew services including but not limited to staffing, on-site coordination, and performance of duties described in the Service Description:

1.2 Locations and Personnel. Services will be performed at Location(s): . Service Provider shall assign qualified personnel ("Crew Members") listed in the Crew Roster attached or provided prior to commencement.

2. TERM AND TERMINATION

2.1 Term. The term of this Agreement shall commence on Start Date: and shall expire on End Date: unless earlier terminated in accordance with this Agreement.

2.2 Termination for Convenience. Either Party may terminate this Agreement for convenience upon providing written notice to the other Party not less than Notice Period (days): days prior to the intended termination date.

2.3 Termination for Cause. Either Party may terminate immediately for cause upon written notice if the other Party materially breaches any obligation and fails to cure within Cure Period (days): days after receipt of written notice specifying the breach.

3. FEES AND PAYMENT

3.2 Taxes. Service Provider is responsible for all taxes, withholding and other statutory obligations arising from the fees paid under this Agreement unless otherwise required by law.

4. EXPENSES

4.1 Reimbursable Expenses. Hiring Party shall reimburse reasonable, pre-approved expenses incurred by Service Provider in connection with performance. Expense Policy:

5. INDEPENDENT CONTRACTOR; NO EMPLOYMENT RELATIONSHIP

Service Provider and its Crew Members shall perform services as independent contractors. Nothing in this Agreement creates an employment, agency, joint venture or partnership relationship. Service Provider shall be solely responsible for all employment taxes, benefits and workers' compensation for its personnel.

6. INSURANCE

6.1 Insurance Requirements. Service Provider shall maintain and provide satisfactory evidence of the following insurance coverages during the term:

6.2 Certificates. Prior to commencement, Service Provider shall deliver certificates of insurance evidencing required coverage and naming Hiring Party as an additional insured where applicable.

7. INDEMNIFICATION

Service Provider shall indemnify, defend and hold harmless Hiring Party, its affiliates and their respective officers, directors and employees from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from (a) Service Provider's negligent acts or omissions or willful misconduct; (b) breach of this Agreement by Service Provider; or (c) Service Provider's failure to pay wages, taxes or benefits owed to Crew Members.

8. CONFIDENTIALITY

8.1 Confidential Information. Each Party acknowledges that it may receive confidential information of the other Party. Confidential Information shall not be used or disclosed except as necessary to perform the Services, or as required by law.

8.2 Survival. The obligations of confidentiality shall survive termination or expiration of this Agreement for Confidentiality Period (years): years.

9. WORK PRODUCT; INTELLECTUAL PROPERTY

9.1 Work Product. All materials, deliverables and work product created by Service Provider in connection with the Services (collectively, "Work Product") shall be owned by Hiring Party upon full payment. Service Provider hereby irrevocably assigns to Hiring Party all rights, title and interest in such Work Product, including all intellectual property rights.

9.2 Pre-Existing Materials. Service Provider shall identify in writing any pre-existing materials, tools or software used in the performance of Services that it seeks to retain ownership of and grant Hiring Party a non-exclusive license to use as necessary for the Work Product.

10. SAFETY AND COMPLIANCE

10.1 Compliance with Laws. Service Provider shall comply with all applicable laws, rules, regulations, union and guild requirements and industry standards in performing the Services.

11. REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has the full power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider additionally represents that it is properly licensed, and that its performance will not infringe any third party rights.

12. EQUIPMENT AND MATERIALS

12.1 Provision of Equipment. Unless otherwise agreed, each Party shall provide its own tools and equipment. If Hiring Party provides equipment, Service Provider shall maintain such equipment in good condition and return it upon request.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below by certified mail, overnight courier, or personal delivery and shall be effective upon receipt.

14. AMENDMENTS; WAIVER

No amendment, modification or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. The waiver of any breach shall not constitute a waiver of any subsequent breach.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of Governing State: without regard to conflict of laws principles.

16. ENTIRE AGREEMENT

This Agreement, together with any attachments and schedules expressly referenced herein, constitutes the entire agreement between the Parties with respect to the subject matter and supersedes all prior agreements, understandings and communications, whether written or oral.

17. SEVERABILITY

If any provision of this Agreement is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

18. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument. Delivery of an executed counterpart by electronic means shall be effective as delivery of a manually executed counterpart.
