CRNA AGREEMENT

This CRNA Agreement (the "Agreement") is entered into as of Effective Date: by and between:

Parties

WHEREAS

WHEREAS, Facility operates a medical practice and requires certified registered nurse anesthetist services for the provision of anesthesia care in connection with surgical and procedural services; and

WHEREAS, Provider is duly qualified, licensed and certified to perform anesthesia services and represents that Provider maintains all necessary professional credentials, malpractice insurance and permissions to perform such services; and

WHEREAS, Facility desires to engage Provider as an independent contractor to perform anesthesia services on the terms and conditions set forth herein, and Provider agrees to provide such services to Facility.

Scope of Work

Provider shall provide anesthesia services as described below. Provider shall perform such services in accordance with applicable professional standards, Facility policies and applicable law.

Payment Terms

Compensation: Facility shall pay Provider compensation as follows:

Invoices: Provider shall submit itemized invoices to Facility. Facility shall remit payment within the Payment Schedule stated above. Provider's invoices shall include dates of service, patient identifiers as permitted by law, and a brief description of services rendered.

Reimbursements: Facility shall reimburse Provider for pre-approved travel, parking, and reasonable out-of-pocket expenses upon submission of documentation. Reimbursement terms:

Term and Termination

Term: This Agreement shall commence on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Termination Without Cause: Either party may terminate this Agreement without cause upon written notice to the other party delivered no fewer than days prior to the effective termination date.

Termination For Cause: Either party may terminate immediately for material breach if the breaching party fails to cure such breach within days after receipt of written notice specifying the breach. For cause termination includes but is not limited to loss of license, exclusion from participation in federal or state healthcare programs, or conviction of a crime affecting professional practice.

Confidentiality

Provider and Facility each acknowledge that in the course of performance under this Agreement they may receive or have access to Confidential Information. "Confidential Information" includes patient data, business strategies, pricing, personnel records and other non-public information. Each party agrees to: (a) hold Confidential Information in strict confidence; (b) not disclose Confidential Information to any third party except as required by law or as necessary to perform obligations under this Agreement; and (c) take reasonable measures to prevent unauthorized disclosure.

The obligations in this Confidentiality clause shall survive termination of this Agreement for a period of three (3) years, except for patient health information which shall be protected in accordance with applicable privacy laws for the period required by such laws.

Insurance; Independent Contractor

Provider shall maintain professional liability insurance in an amount not less than and shall provide evidence of such insurance upon request. Provider is an independent contractor and nothing in this Agreement shall be construed to create an employment relationship, partnership, or joint venture.

Indemnification

Each party shall indemnify, defend and hold harmless the other party, its officers, directors, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from the indemnifying party's breach of this Agreement, negligence or willful misconduct. This indemnity shall not apply to the extent such claims arise from the indemnified party's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral. This Agreement may be amended only by a written instrument signed by both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below or to such other address as the party may designate in writing.

Miscellaneous

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Waiver: No waiver of any breach shall be effective unless in writing and signed by the waiving party.

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that Facility may assign this Agreement to an affiliate or successor entity upon written notice.
