CRNA CONTRACT TEMPLATE

This Agreement is entered into as of the Effective Date set forth below by and between:

Recitals

WHEREAS, Client operates or manages clinical facilities and requires anesthesia services provided by a Certified Registered Nurse Anesthetist; and

WHEREAS, CRNA is duly licensed and certified to provide professional anesthesia services and agrees to perform such services for Client as an independent contractor under the terms set forth herein; and

WHEREAS, the parties desire to set forth the terms and conditions under which CRNA will provide anesthesia services to Client.

Scope of Work

CRNA shall provide professional anesthesia services, including but not limited to pre-anesthesia evaluation, intraoperative anesthesia management, post-anesthesia care, airway management, pain management procedures, documentation of anesthesia records, and coordination with surgical teams, as required by Client. CRNA shall comply with applicable standards of care, facility policies, and applicable licensure and certification requirements.

Payment Terms

Client shall compensate CRNA for services performed in accordance with the following terms:

Late payments shall accrue interest at the lesser of () per month or the maximum rate permitted by applicable law. Client shall also be responsible for reasonable collection costs and attorney fees incurred to collect delinquent amounts.

All payments are net of applicable taxes. CRNA is solely responsible for all federal, state, local, and social security taxes arising from compensation paid under this Agreement. Client shall not withhold income taxes or provide employment benefits unless otherwise required by law.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement without cause upon days' prior written notice to the other party. Either party may terminate immediately for cause upon written notice if the other party materially breaches this Agreement and fails to cure such breach within a reasonable period not to exceed 15 days after receipt of written notice specifying the breach.

Upon termination, Client shall pay CRNA for all services performed and documented through the effective date of termination, plus any reimbursable, pre-approved expenses incurred prior to termination.

Confidentiality

"Confidential Information" means proprietary and non-public information disclosed by Client to CRNA that relates to Client's business, patients, trade secrets, financial information, or other sensitive information. CRNA shall hold all Confidential Information in strict confidence, shall not disclose such information to third parties except as required by law or in the performance of professional duties, and shall use Confidential Information solely for the performance of services under this Agreement.

Confidential Information shall not include information that is (a) already in CRNA's lawful possession prior to disclosure, (b) publicly available through no fault of CRNA, or (c) independently developed by CRNA without reference to Client's Confidential Information. Upon expiration or termination of this Agreement, CRNA shall return or destroy Client's Confidential Information upon request.

Independent Contractor; Insurance; Licensure

CRNA is an independent contractor and nothing in this Agreement shall be construed to create an employer-employee relationship, partnership, joint venture, or agency. CRNA shall be responsible for all taxes and benefits associated with compensation received under this Agreement.

CRNA shall maintain professional liability insurance in an amount not less than and shall furnish proof of such insurance upon request. CRNA shall maintain all required licenses, certifications, and credentials in good standing at all times during the Term.

Indemnification and Liability

Each party shall indemnify and hold harmless the other party and its officers, directors, employees, and agents from and against any third-party claims, liabilities, damages, and costs (including reasonable attorney fees) arising out of the indemnifying party's negligent acts or willful misconduct in connection with performance under this Agreement; provided, however, that CRNA's indemnity obligations shall be subject to applicable limits of professional liability insurance and applicable law.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties agree to attempt good faith negotiation to resolve any dispute arising under this Agreement prior to initiating litigation; nothing in this section shall prevent a party from seeking injunctive relief to protect Confidential Information or patient safety.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous oral and written agreements, understandings, and communications. Any amendment or modification to this Agreement must be in writing and signed by authorized representatives of both parties.

Miscellaneous Provisions

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other, except that Client may assign to an affiliate or successor by operation of law provided that such assignee assumes Client's obligations hereunder.
