What the Crowdfunding Equity Agreement Is and When It Applies

A Crowdfunding Equity Agreement documents the terms under which a company sells equity interests to multiple investors through a crowdfunding platform or private offering. It defines the securities offered, purchase price or valuation terms, investor qualifications, subscription mechanics, investor representations and warranties, allocation and closing procedures, transfer restrictions, and dispute resolution. For many Regulation CF, Rule 506(c) or other exempt offerings, this agreement accompanies subscription forms, investor questionnaires, and issuer disclosures to ensure clear rights and obligations between issuer and investor and to support required filings and recordkeeping.

Why a Clear Agreement Protects Issuers and Investors

A well-drafted Crowdfunding Equity Agreement reduces legal uncertainty, clarifies investor rights, and documents compliance steps required by securities law and platform policies. It helps prevent disputes, supports accurate reporting, and provides the terms needed for governance and future financings.

Why a Clear Agreement Protects Issuers and Investors

Who Typically Prepares and Signs This Agreement

Issuers, crowdfunding platforms, counsel, and accredited or non-accredited investors all interact with this agreement during a regulated offering.

  • Issuing companies and founders who need standardized investor terms and an auditable record of subscriptions.
  • Crowdfunding platforms and placement agents that collect investor data, host subscription workflows, and ensure compliance.
  • Securities counsel and compliance officers who tailor disclosure, Blue Sky filings, and investor eligibility screening.

Roles vary by offering type and jurisdiction; counsel typically confirms whether additional state notices, disclosures, or investor suitability checks are required.

Core Elements to Include in a Professional Crowdfunding Equity Agreement

A complete agreement balances business terms and regulatory safeguards. Include clear sections that define the offering, investor commitments, closing mechanics, transfer restrictions, governance, and remedies to minimize ambiguity and support enforceability.

Offering Terms

Investor Representations

Require investors to confirm eligibility, accuracy of information, and acceptance of electronic records and signatures when applicable.

Subscription Mechanics

Detail how subscriptions are submitted, payment handling, escrow or payment clearing procedures, and the conditions for acceptance or rejection.

Transfer Restrictions

Specify resale limitations, legends on certificates, right of first refusal, and compliance with securities law and applicable exemptions.

Governance Rights

Set out voting rights, information rights, board observer rights if any, and how amendments to organizational documents are handled.

Closing and Remedies

Explain closing conditions, failure to close consequences, indemnities, dispute resolution procedures, and applicable governing law.
