CULINARY CHEF CONTRACT

Parties

This Culinary Chef Contract (the Agreement) is entered into on by and between Client Name: and Chef Name: .

Recitals

WHEREAS, the Client operates events, private dining, and catering services and desires to retain the Chef to provide culinary services for specified engagements; and

WHEREAS, the Chef represents that the Chef possesses the skill, experience, licensing and equipment necessary to perform the culinary services set forth in this Agreement and agrees to perform such services as an independent contractor; and

WHEREAS, the parties desire to set forth the terms and conditions under which the Chef will provide culinary services to the Client.

Scope of Work

The Chef shall provide professional culinary services including menu planning, ingredient procurement oversight, food preparation, on-site cooking and presentation, coordination of service timing, and kitchen clean-up, as further described below. The Chef shall perform services in a professional manner consistent with industry standards.

Payment Terms

The Client shall pay the Chef for services in accordance with the schedule below. All fees are exclusive of applicable taxes and any third-party vendor costs unless otherwise stated.

Late payments shall bear interest at the rate of (or the maximum lawful rate if lower). Client shall also be responsible for any costs of collection, including reasonable attorney fees.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated pursuant to this Section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure the breach within 10 days after receiving written notice of the breach. Termination shall not relieve the Client of the obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business, culinary, financial, recipe, menu, guest list and operational information disclosed by either party that is designated confidential or that a reasonable person would understand to be confidential under the circumstances. The receiving party shall (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except to employees, agents and permitted subcontractors who need to know and are bound by confidentiality obligations; and (c) use the Confidential Information solely to perform under this Agreement. Confidentiality obligations shall survive termination for a period of three (3) years.

Independent Contractor; Insurance

The Chef shall perform services as an independent contractor and not as an employee of the Client. The Chef is responsible for all taxes and benefits associated with the Chef's personnel. The Chef shall maintain, at Chef's expense, general liability and, where applicable, workers' compensation insurance with limits appropriate to the services and shall provide certificates of insurance upon request.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from claims arising out of its negligent acts or willful misconduct in connection with this Agreement. Except for indemnification obligations and breaches of confidentiality, neither party shall be liable to the other for incidental, consequential or punitive damages, and aggregate liability shall not exceed the total fees paid under this Agreement for the related engagement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for disputes arising from this Agreement.

Entire Agreement; Amendments

This Agreement, including any attachments and written proposals expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Headings are for convenience only and do not affect interpretation. Notices required under this Agreement shall be in writing and delivered to the addresses set forth above.
