CULINARY EXPERIENCE TASTE OF TUSCANY - SERVICE AGREEMENT

This General Business Agreement (the Agreement) is entered into by and between Provider Name: and Client Name: . The parties hereby agree to the terms set forth below in connection with the Culinary Experience Taste of Tuscany (the Experience).

WHEREAS

WHEREAS, Provider operates and provides curated culinary events, classes, and tastings and shall organize and deliver the Experience for Client; and

WHEREAS, Client desires to retain Provider to perform the Experience at the Location and on the Date specified below under the terms and conditions herein.

EVENT DETAILS

SCOPE OF WORK

Provider will design and deliver a Tuscany-themed culinary experience including menu planning, ingredient sourcing, on-site culinary demonstration, guided tastings, and post-event clean-up. The core deliverables include:

PAYMENT TERMS

Client shall pay Provider the Total Fee for the Experience as set forth below. All payments are non-refundable except as expressly provided in this Agreement.

Late payments shall incur interest at the rate of on any overdue amount, plus collection costs and attorneys' fees reasonably incurred by Provider.

CANCELLATION AND TERMINATION

Either party may terminate this Agreement for material breach if the breach remains uncured for a period of days after written notice. Client may cancel the Experience without cause up to days prior to Event Date; deposits will be retained as liquidated damages to cover pre-event costs. If Provider cancels for any reason other than Force Majeure, Provider shall refund all amounts paid by Client and, at Provider's option, offer reasonable alternative dates.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any proprietary or confidential information of the other party, including but not limited to recipes, supplier pricing, guest lists, operational processes, and trade secrets (Confidential Information), except where disclosure is required by law. Confidential Information shall not include information that is publicly available through no fault of the receiving party or information independently developed without use of the disclosing party's Confidential Information. The obligations in this paragraph shall survive termination of this Agreement for a period of three (3) years.

INSURANCE AND LIABILITY

Provider shall maintain general liability insurance covering the Event and shall provide proof of insurance upon Client's reasonable request. Except for willful misconduct or gross negligence, neither party shall be liable to the other for consequential, incidental, or punitive damages. Client is responsible for obtaining any necessary permits or venue approvals unless otherwise agreed in writing.

FORCE MAJEURE

Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, acts of government, labor disputes, epidemic or pandemic conditions, or other force majeure events. The affected party shall notify the other promptly and use reasonable efforts to mitigate the event's effects.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits, attachments, and written amendments signed by both parties, constitutes the entire agreement between Provider and Client with respect to the Experience and supersedes all prior and contemporaneous agreements, understandings, and representations, whether written or oral.

NOTICES

MISCELLANEOUS

No amendment to this Agreement shall be effective unless in writing and signed by both parties. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that their respective representatives have the authority to bind them to the terms of this Agreement.
