Fees, Taxes and Charges

All fees due to the Exchanger in respect of the transaction shall be as set out above. The Client is responsible for any taxes, duties, or levies arising from the transaction unless otherwise agreed in writing. Late payment or delayed receipt by the Client shall be subject to a late fee of per month on amounts due.

Representations and Warranties

Each party represents and warrants that it has full power and authority to enter into this Agreement, that entering into and performing its obligations will not violate any agreement or law binding upon it, and that the information provided to the other party is true, complete, and accurate.

The Client further represents that the funds to be exchanged are not derived from unlawful activity and that the Client will provide such identification and documentation as the Exchanger reasonably requests for compliance with anti-money laundering, sanctions, and know-your-customer requirements.

Client acknowledges that the Exchanger has the right to suspend or terminate the transaction if required by law, regulation, or internal compliance procedures. The Exchanger shall not be liable for any loss arising from compliance with such laws.

Default and Remedies

If either party fails to perform any material obligation under this Agreement, the non-defaulting party may provide written notice specifying the breach and, if the breach is not remedied within five (5) business days, pursue all remedies available at law or in equity including termination, recovery of damages, and injunctive relief.

Indemnity and Limitation of Liability

Each party shall indemnify, defend, and hold harmless the other party from and against any loss, liability, damage or expense arising from the indemnifying party's breach of this Agreement, negligence, or willful misconduct. Except for willful misconduct or fraud, neither party shall be liable for consequential or indirect damages.

Confidentiality

Each party agrees to keep confidential and not disclose any non-public information received from the other party in connection with this Agreement, except as required by law or to professional advisers subject to confidentiality obligations.

Notices

All notices under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate by notice in accordance with this provision. Notices shall be effective upon receipt.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of without regard to choice of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for disputes arising out of this Agreement.

Termination and Amendment
