What a Custodial Services Agreement Covers

A Custodial Services Agreement is a written contract that defines cleaning and maintenance duties, service schedules, compensation, insurance, performance standards, and liability allocation between a client and a custodial provider. The agreement typically covers scope of work, supplies and equipment responsibilities, access and security, key performance indicators, contractor staffing and background checks, invoicing and payment terms, termination conditions, and confidentiality. Clear terms reduce disputes, set measurable expectations, and document remedies for nonperformance while establishing which party is responsible for regulatory compliance, insurance, and indemnity.

Why a Formal Agreement Matters

A written Custodial Services Agreement clarifies responsibilities, reduces operational disputes, and documents indemnity and insurance obligations. It helps manage risk, ensures consistent service levels, and supports legal enforceability under contract law and applicable electronic signature statutes such as ESIGN and state UETA laws.

Why a Formal Agreement Matters

Who Commonly Uses This Agreement

These agreements are used by organizations that outsource cleaning or facility upkeep and by providers delivering custodial services.

  • Property managers and building owners responsible for tenant spaces and common areas.
  • Schools, healthcare facilities, and government agencies requiring regulated cleaning protocols.
  • Commercial custodial vendors contracting with businesses, landlords, or institutions.

Use this template to set expectations, assign liability, and document insurance and credential requirements for ongoing facility services.

Key Security and Compliance Features to Include

Confidentiality: Data and access privacy obligations
Insurance: Required coverage types and limits
Background Checks: Employee screening requirements
Access Controls: Key, badge, and alarm procedures
Audit Trail: Record of service logs and incidents
HIPAA Consideration: BAA required when handling PHI

Potential Contract Risks and Consequences

Common Preparation Mistakes to Avoid

  • Vague scope descriptions that leave tasks, frequencies, or excluded duties undefined, causing disputes over expected services.
  • Failing to require proof of insurance or certificates of insurance listing the client as additional insured, which exposes the client to uninsured losses.
  • Not specifying background-check standards or credentialing for staff, leading to security and liability concerns in sensitive facilities.
  • Ignoring access logistics and key control procedures, increasing risk of unauthorized entry, damage, or lost keys.

Step-by-Step: Completing the Agreement

Follow these sequential steps to complete, sign, and store the Custodial Services Agreement correctly.

  • Insurance Verification: Client obtains COI before service starts
  • Record Retention: Signed copy stored by both parties

Essential Contract Clauses to Include

These provisions form the backbone of a professionally drafted Custodial Services Agreement and reduce operational and legal ambiguity.

Scope of Work

Define specific cleaning tasks, frequencies, excluded tasks, and accepted standards. Include locations, square footage, and any tenant-specific obligations so performance is measurable and disputes are minimized.

Compensation

Specify rates, invoicing schedule, late fees, and acceptable payment methods. Address extra charges for special requests, supplies, or emergency call-outs to prevent surprise billing.

Insurance & Indemnity

Require commercial general liability, workers’ compensation, and specified limits. Include indemnification for third-party claims and require certificates of insurance naming the client as additional insured.

Term & Termination

Set the contract length, renewal terms, and termination rights for cause and convenience. Define cure periods and post-termination obligations such as final invoicing and property return.

Performance Standards

Include KPIs, inspection schedules, remedies for missed service levels, and reporting thresholds. Define inspection acceptance criteria and escalation procedures for recurring failures.

Access & Security

Detail key and badge procedures, scheduling for after-hours access, background-check standards, and protocols for lost keys or security incidents to protect premises and occupants.

Digital Workflow Configuration for eSigning
