What the Custom Design Ring Agreement Covers

A Custom Design Ring Agreement is a legally binding contract between a jeweler (designer or retailer) and a client that documents design specifications, materials, pricing, payment schedule, timelines, warranties, and intellectual property or reproduction rights. It records deposits, approval steps, change orders, and acceptance criteria for finished work, and it allocates responsibility for loss, damage, or delays. The agreement establishes remedies and dispute resolution paths and serves as the operative record for delivery, insurance claims, and tax/reporting obligations tied to the transaction.

Why a Written Agreement Matters for Custom Jewelry

A clear Custom Design Ring Agreement reduces misunderstandings about scope, cost, and deadlines and preserves enforceable obligations. Electronic execution is legally recognized under federal and state law when ESIGN (15 U.S.C. ch. 96) or UETA applies, provided intent, consent, attribution, and retention requirements are met.

Why a Written Agreement Matters for Custom Jewelry

Who Commonly Prepares and Signs This Agreement

This agreement is used by sellers, designers, and customers to document expectations for bespoke rings.

  • Independent jewelers and bench jewelers offering custom fabrication and repair services.
  • Retail jewelry stores and bridal boutiques managing bespoke orders and layaway or payment plans.
  • Clients commissioning engagement or heirloom redesigns who need documented specifications and payment terms.

Primary Signers and Their Roles

Seller - Jeweler

The jeweler or retailer is responsible for delivering the custom item per specifications, maintaining production timelines, disclosing material grades, and honoring warranty and repair commitments. They often accept deposits, retain intellectual property rights over proprietary templates, and are the primary point of contact for approvals and changes.

Buyer - Client

The client provides design approvals, measurements, and payment per the schedule, and must inspect and accept final work within agreed timelines. The buyer's signature confirms consent to materials, estimated weights, and liability allocations for resizing or finish variations.

Core Clauses to Include in a Professional Agreement

A comprehensive Custom Design Ring Agreement organizes obligations and reduces dispute risk. Include terms that define scope, payment, timeline, changes, warranties, and dispute resolution so both parties understand expectations from design through delivery.

Design Scope

Precise description of the ring design, sketches or CAD references, gemstone specifications, metal type and weight, finish, and any tolerances or acceptable variances in final product.

Payment Terms

Deposit amount, milestone payments, final balance due on delivery or acceptance, and consequences of late payment or nonpayment including interest or cancellation fees.

Production Timeline

Estimated lead times for design approval, fabrication, setting, and polishing; include allowances for sourcing gemstones and unexpected delays.

Change Orders

Procedure for client-requested changes, cost adjustments, how approvals are documented, and any effect on delivery dates.

Warranties & Repairs

Warranty scope and duration, exclusions (normal wear, misuse), and repair or resizing policies including any associated fees.

Intellectual Property

Whether design rights remain with the jeweler, license terms for reproduction, and any restrictions on copying or commercial use.

  • Skipping documented approvals for change orders, which leads to scope creep and unexpected charges.
  • Not tying payments to milestones, which can result in partial payment disputes or canceled production runs.
  • Failing to record acceptance criteria and inspection windows, creating uncertainty about when the work is complete.

Risks and Potential Consequences of Errors

Deposit Forfeiture: Buyer loses deposit per cancellation clause
Delayed Delivery: Missed timelines may trigger penalties
Warranty Claims: Unclear coverage leads to repair disputes
Intellectual Property: Unauthorized reproductions risk legal action
Tax Reporting: Incorrect reporting may trigger IRS penalties
Authentication Failure: Weak eID evidence can weaken enforcement
