What the Custom Doors Contract Addendum Is and When It Applies

A Custom Doors Contract Addendum is a written amendment attached to a primary contract that modifies scope, specifications, delivery timing, pricing, or acceptance criteria specifically for custom door products or installations. It documents agreed changes without rewriting the original agreement, provides a clear record of revised obligations among supplier, contractor, and owner, and typically references the base contract by date and section to preserve continuity and enforceability in case of dispute.

Why Use a Custom Doors Contract Addendum

A tailored addendum clarifies custom scope and pricing, reduces disputes by recording approvals, and preserves the original contract’s structure for ease of enforcement under contract law and commercial practice.

Why Use a Custom Doors Contract Addendum

Who Typically Prepares and Signs This Addendum

The document is most effective when prepared jointly, reviewed by legal or contract administrators as needed, and signed by authorized representatives from each party.

  • General contractors and subcontractors making scope adjustments for field conditions or owner requests.
  • Manufacturers and suppliers documenting custom material, lead time, or pricing changes.
  • Property owners or facility managers approving specification changes or delivery schedules.

Essential Elements to Include in a Professional Addendum

A complete addendum isolates the change, ties it to the original contract, and records consideration, dates, and signature authority so the amendment is enforceable and auditable.

Reference

Cite original contract title, parties, and effective date so the addendum attaches unambiguously to the base agreement.

Scope Change

Describe modifications (dimensions, materials, hardware, finishes) with enough detail that installers and suppliers can act without further interpretation.

Pricing

State the exact price change or pricing formula, including taxes, allowances, and whether amounts are lump-sum or unit-based.

Schedule

Specify revised delivery or installation dates, lead times, and any liquidated damages or delay allowances.

Acceptance Criteria

Define inspection points, testing, and warranty adjustments tied to the custom components or workmanship.

Signature Block

Include printed names, titles, signature lines, and date fields for all authorized signatories and any required witness or notary lines.

Step-by-Step: Completing the Addendum

Follow these steps in order to produce a clear, enforceable amendment and reduce the need for follow-up negotiation or rework.

  • 01
Identify Base Agreement: Confirm contract title and date before drafting the amendment.
  • 02
Describe Changes: Write precise specifications, referencing drawings or exhibits.
  • 03
Calculate Consideration: Set exact amounts and payment milestones.
  • 04
Collect Signatures: Obtain authorized signatures and dates from all parties.

How the Addendum Fits Into Contract Workflows

Use this simplified workflow to route the addendum from drafting through approval, signature, and execution.

  • Draft: Author drafts addendum and attaches exhibits or drawings.
  • Review: Legal, procurement, and project leads review and mark changes.
  • Approve: Authorized approvers sign and date the addendum.
  • Execute: File executed copy with contract records and distribute to stakeholders.

Common Legal Risks and Contractual Consequences

Unclear Scope: Leads to payment and warranty disputes
Missing Authorization: Signature by unauthorized person may void amendment
Incorrect Dates: Can shift responsibility for performance
Improper Notarization: May prevent record acceptance in some jurisdictions
Tax Reporting: Unreported consideration can trigger IRS issues
Record Retention: Failure to retain may hamper legal defense

Frequent Preparation Problems to Watch For

  • Vague technical descriptions that require contractor interpretation and lead to change claims or rework on site.
  • Assuming oral approvals are binding without contemporaneous signed documentation creating enforcement gaps.
  • Using initials instead of full signatures when the document or counterparty requires corporate officer signatures.
  • Failing to attach or reference updated drawings or product specifications required to fulfill the revised scope.

Typical Timeframes and Deadlines in Addendum Workflows

Establish clear timelines for approval, fabrication, and installation to coordinate lead times and avoid delay claims.

Approval Window:

Allow 5–10 business days for internal approvals and shop drawing review

Fabrication Lead Time:

Specify manufacturer lead times (for example, 2–8 weeks depending on customization)

Delivery Window:

State exact delivery date or allowable delivery window (MM/DD/YYYY format)

Installation Schedule:

Coordinate on-site installation dates and required access windows

Warranty Start:

Tie warranty start to acceptance or installation completion date

Real-World Examples of Addendum Use

These examples illustrate common scenarios where an addendum resolved scope, schedule, or cost issues efficiently.

Case Study 1

A property manager requested custom acoustic doors for a renovation project to meet tenant requirements.

  • The contractor issued an addendum with revised pricing and a 30-day lead time.
  • The executed addendum clarified acceptance testing and warranty, avoided a work stoppage, and provided a clear basis for invoicing and payment.

Case Study 2

A general contractor encountered unexpected framing that required different door jambs.

  • Parties negotiated a scope and price change using an addendum.
  • The addendum referenced drawings, adjusted the schedule, and captured approval signatures so the manufacturer could proceed without delaying the overall project timeline.

Best Practices for Clear, Enforceable Addenda

Adopt consistent formatting, version control, and signatory verification to limit ambiguity and support enforceability.

Use Exhibits
Attach or reference detailed drawings and part lists to eliminate interpretive gaps and provide objective acceptance criteria.
Number Revisions
Assign amendment numbers and dates to maintain a clear audit trail and avoid confusion with earlier modifications.
Confirm Authority
Obtain signatures from individuals with contractual authority and note their title to prevent later repudiation.
Preserve Originals
Store executed originals or certified electronic copies in your contract repository and ensure retention meets regulatory requirements.
