What a Custom Jewelry Sales Agreement Covers

A Custom Jewelry Sales Agreement is a written contract between a maker or seller and a buyer that documents the scope, specifications, price, delivery schedule, and remedies for a bespoke piece. It sets technical details (materials, gemstones, dimensions), design approval steps, payment terms (deposit, balance, refunds), production and shipping timelines, insurance and risk allocation during transit, and any warranty or service commitments. Well-drafted agreements reduce disputes by defining acceptance criteria, change-order procedures, and ownership transfer. This template is suitable for independent jewelers, boutiques, and manufacturers working with individual customers or trade clients.

Why a Written Agreement Matters for Custom Jewelry

A clear Custom Jewelry Sales Agreement reduces ambiguity about design, cost, timing, and liability, making dispute resolution easier and protecting both parties' expectations under contract law and consumer protection rules.

Why a Written Agreement Matters for Custom Jewelry

Who Commonly Uses This Agreement and When

Use the agreement whenever a custom specification, nonstandard material, or deposit structure is involved to reduce later disputes and support insurance, resale, or warranty claims.

  • Independent jeweler — For single-piece commissions, documents payment schedule, design approvals, and ownership transfer.
  • Retail boutique — Used when ordering custom work for customers, often adding return and warranty terms.
  • Manufacturer / trade client — Standardizes bulk custom orders, materials sourcing, and lead times.

Essential Clauses to Include in Your Agreement

A professional Custom Jewelry Sales Agreement is concise but covers six core areas so both parties know obligations, timelines, and remedies.

Parties

Identify full legal names, business entities, contact details, and billing addresses for buyer and seller to ensure enforceability and correct invoicing.

Item Description

Provide detailed specifications: metal type and karat, gemstone type/grade/weight, measurements, finish, sketches or CAD files, and reference serial or model numbers if applicable.

Approval Process

Define mock-up, prototype, or digital approval steps, timelines for buyer sign-off, and consequences for missed approvals or requested changes.

Price & Payment

State total price, deposit amount and due date, payment methods, tax responsibilities, late payment fees, and when title passes to buyer.

Delivery & Risk

Specify production lead time, shipping method, insurance during transit, delivery address, and who bears loss or damage risk at each stage.

Warranties & Returns

List any workmanship warranties, duration, repair or replacement procedures, exclusions (wear and tear), and return or refund conditions for custom work.

Step-by-Step: Completing the Agreement

Follow these steps to prepare, approve, and finalize the Custom Jewelry Sales Agreement with electronic signature capability.

  • 01
Draft the Agreement: Populate parties, item specs, price, deposit and key terms.
  • 02
Attach Supporting Files: Add sketches, photos, certification documents, and ordered materials lists.
  • 03
Send for Review: Share with buyer for inspection and explicit written approval.
  • 04
Sign and Archive: Obtain signatures, date the document, and store a signed copy securely.

How to Configure an Online Signing Workflow

Set up a predictable digital workflow that captures approvals, tracks changes, and preserves an audit trail.

Field Configuration
Signature Field Require signer name, signature, and date for each party
Approval Checkbox Add mandatory checkbox for design approval before production
Conditional Fields Show balance-due fields only after deposit is marked paid
Attachments Require upload of gem certification or ID for high-value pieces

Digital Signing, File Formats, and Integrations

Ensure the chosen provider supports audit trails, exportable signed PDFs, and the authentication strength you require; these features help prove intent, attribution, and integrity under ESIGN and UETA.

  • File Formats: PDF and DOCX are standard for templates and signed outputs
  • Integrations: Connectors to CRM or cloud storage (Salesforce, NetSuite, Google Workspace) simplify order and record keeping
  • Security: Use platforms with TLS and AES-256 encryption to protect sensitive customer data

Typical Online Signing Flow

A consistent signing flow reduces friction and preserves legal evidence of the transaction.

  • Upload Document: Add the completed agreement and attachments
  • Place Fields: Insert signature, initials, date, and approval checkboxes
  • Send to Signers: Deliver via email link or secure portal
  • Complete & Store: Capture audit trail and archive signed copy

Key Dates and Payment Deadlines to Track

Document these milestones clearly to avoid disputes and late fees.

Deposit Due Date:

Enter the date deposit must be paid to start production

Design Approval Deadline:

Set a firm date for buyer approval of mock-ups or CADs

Estimated Completion:

Record the projected MM/DD/YYYY completion date

Final Payment Date:

Specify when remaining balance is due before shipment

Delivery Window:

State expected shipping date range and carrier responsibilities

Common Preparation Errors to Avoid

  • Vague specifications that omit material grades or gemstone certification lead to acceptance disputes and rework.
  • Missing or inconsistent payment terms, including unclear deposit/refund rules, create collection and chargeback risk.
  • No explicit approval step for design revisions, producing unauthorized final items without buyer consent.
  • Failing to document insurance or transit responsibility exposes parties to loss without contractual remedy.

Typical Risks and Contract Remedies

Late Delivery: Liquidated damages
Nonpayment: Collection costs
Quality Dispute: Repair or replacement
IP Ownership: Assignment clauses
Loss in Transit: Insurance claim
Sales Tax: Tax remittance obligation
