WHEREAS, Client desires to procure custom name plates in accordance with the specifications and quantities set forth in this Agreement; and

WHEREAS, Vendor represents that it has the skill, capacity and equipment necessary to manufacture and deliver such custom name plates; and

WHEREAS, the parties agree that this Agreement will become effective on and shall govern all orders placed under this document.

Scope of Work

Vendor will design, manufacture, finish, and deliver custom name plates in accordance with the specifications below. Vendor shall supply materials, labor, tooling and quality control necessary to produce name plates that conform to the agreed specifications and industry standards. Vendor will provide samples and proofs where required and shall correct any defects at Vendor's expense when non-conforming to the specifications prior to final acceptance.

Client shall pay Vendor for the work described herein in accordance with the following terms. All amounts are denominated in U.S. dollars unless otherwise stated. Unless otherwise agreed in writing, the amounts set forth below shall be binding.

Term and Termination

This Agreement will commence on and, unless earlier terminated as provided below, will remain in force until completion of delivery on or about .

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after receipt of written notice. Either party may terminate for convenience upon days' prior written notice. In the event of termination, Client will pay Vendor for work performed and materials ordered up to the effective date of termination, including non‑cancelable commitments.

Confidentiality

Each party (the "Receiving Party") shall keep in strict confidence all technical, commercial and other confidential information disclosed by the other party (the "Disclosing Party") that is designated as confidential or which reasonably should be understood to be confidential given the nature of the information. Confidential information does not include information that is (a) publicly available without breach of this Agreement; (b) independently developed by the Receiving Party without use of the Disclosing Party's confidential information; or (c) rightfully obtained from a third party not bound by confidentiality to the Disclosing Party.

Receiving Party shall use confidential information solely for the purpose of performing its obligations under this Agreement and shall not disclose such information to any third party except to employees and contractors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein.

Warranties and Acceptance

Vendor warrants that delivered name plates will conform to the agreed specifications and will be free from defects in material and workmanship for a period of 90 days from delivery. Client's sole remedy for breach of warranty shall be, at Vendor's option, repair or replacement of nonconforming items or refund of the applicable purchase price for such items. Vendor's warranty does not cover defects resulting from Client's design, misuse, modification, or improper installation.

Final acceptance shall occur upon written acknowledgment by Client of receipt and inspection of the goods or, if Client fails to provide written rejection within 10 days of delivery, the goods shall be deemed accepted.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. Any disputes arising under or in connection with this Agreement shall be resolved in the state or federal courts located in that state, and the parties submit to the exclusive jurisdiction of those courts.

Entire Agreement

This Agreement, together with any exhibits or accepted purchase orders explicitly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No modification of this Agreement shall be binding unless executed in writing by authorized representatives of both parties.

Notices

All notices required or permitted under this Agreement shall be in writing and shall be delivered to the addresses set forth above or to such other address as either party may designate in writing. Notice is effective upon personal delivery, confirmed electronic transmission, or three days after deposit with a nationally recognized overnight courier.
