WHEREAS, the Contractor prepares and provides this written Quote for custom woodworking services and materials under the terms and conditions set forth below; and the Client desires to procure such services and materials subject to the terms of this Quote and the accompanying Agreement.

Quote Reference

Scope of Work

The Contractor shall furnish labor, materials, equipment and perform work described below in a good and workmanlike manner in accordance with industry standards. Work to include fabrication, finishing, and installation as described.

Itemized Quote

List materials, labor and any ancillary charges. Unit prices are exclusive of tax unless otherwise noted. Line totals shall reflect quantity multiplied by unit price.

Payment Terms

The Client shall pay the Contractor for the Work the Total Amount set forth above in accordance with the following schedule and conditions. Time is of the essence for all payment obligations.

Late payments shall incur a late fee of % per month on the outstanding balance, or the maximum lawful rate if lower, plus any collection costs and attorneys' fees incurred to enforce payment.

Term and Termination

This Quote and any resulting Agreement shall commence on Start Date: and shall continue until Completion Date: unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon written notice delivered at least days prior to the intended termination date. Either party may terminate for cause on written notice if the other party materially breaches this Quote and fails to cure the breach within ten (10) days after receipt of written notice specifying the breach. Upon termination, the Contractor shall be entitled to payment for work performed and materials ordered up to the termination date, plus reasonable demobilization costs.

Change Orders

Confidentiality

The parties acknowledge that Client specifications, drawings, pricing, and project details constitute confidential and proprietary information. Each party agrees not to disclose such information to third parties except to employees, subcontractors, or agents who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth herein. Confidential information shall not include information that is or becomes generally available to the public other than through breach of this provision.

Warranties and Limitations

Contractor warrants that workmanship will be free from material defects for a period of months from final acceptance. Materials are warranted only to the extent of manufacturer's warranties. Except as expressly set forth in this paragraph, the Contractor disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose.

Governing Law; Entire Agreement

This Quote and any resulting Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles. This Quote, together with any incorporated documents and executed change orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior negotiations, proposals and communications, whether written or oral.

No waiver, amendment, or modification of any provision of this Quote will be effective unless in a written instrument signed by both parties. If any provision of this Quote is held invalid or unenforceable, the remainder of this Quote will remain in full force and effect.

Acceptance

Acceptance of this Quote is effective upon Client's signature below and payment of any required deposit. Acceptance binds the parties to the terms and conditions set forth herein. Any additional work not expressly described in the Scope of Work shall require a written change order signed by both parties prior to commencement.
